ICS and the County shall hereinafter be collectively referred to as the “Parties” in the plural and “Party” in the singular. 1. Term of Contract. This Agreement is effective upon execution, however, the initial service term shall commence upon the date inmates within the County’s control begin using tablet services, such as video visitation, from the Equipment (such actual date the “Cutover Date”) and shall remain in force and effect for an initial term of three (3) years from such Cutover Date (the “Initial Term”). This Agreement shall renew for additional terms of one (1) year (“Renewal Term”), each upon the same terms and conditions as set forth herein, unless either Party provides written notice to the other Party of non-renewal or intended modification at least ninety (90) days prior to a scheduled renewal. Any prior agreements remain in place and effective until Cutover Date. 2. Service & Equipment. This Agreement applies to the provision of inmate telephone services by ICS using Equipment either centrally located or within space provided by the County at each of the “Service Locations” listed on Exhibit A. The term “ Equipment” is defined herein as telephone sets , computer systems and software, all as more fully described on Exhibit B, which is attached hereto and incorporated herein by reference . All Equipment shall be installed by or through ICS using properly trained personnel and in a good, workmanlike manner. Any Equipment of ICS installed, for purposes of this Agreement, upon the premises owned, leased or otherwise under the supervision of the County, shall remain in all respects the property of ICS. ICS reserves the right to remove or relocate any Equipment that is subjected to recurring vandalism while located on premises owned, leased or otherwise under the County’s supervision. ICS shall not exercise such right of removal or relocation unreasonably and, in any case with at least thirty (30) days prior written notice to the County with an opportunity to cure the issue in advance of any removal or relocation hereunder . Upon removal of Equipment by ICS, ICS shall restore the premises to its original condition, ordinary wear and tear excepted. 3. Alteration and Attachments. The County shall not make alterations or place any attachments to Equipment and Equipment shall not be moved, removed, rendered inoperable or unusable by the County without the express written permission of ICS. 4. Rates and charges may be subject to change based on an order or rule of a regulatory authority having applicable jurisdiction. 6. Consideration to County. ICS will install, operate and maintain Equipment at no charge to the County. The foregoing is also predicated on the County maintaining an average daily inmate population (“ADP”) consistent with the average of the three (3) months preceding the Cutover Date, with such inmates having access to the telephone Equipment materially consistent with industry practice. A ten percent ( 10%) or more decline in such ADP shall be deemed a “Significant ADP Drop”. In the event that a Regulatory Change or Significant ADP Drop materially affects such rates, charges or consideration, the Parties agree to enter into good faith negotiations to amend this Agreement in a manner that provides sufficient consideration for ongoing services, as well as complies with the Regulatory Change , if applicable. In the event ICS invoices the County for additional services or Equipment that the County requested and/or agreed upon in advance thereof, the County shall pay such invoice within thirty (30) days of its receipt thereof, unless the County has a good faith dispute over the contents of the invoice and then only to the extent thereof. ICS acknowledges the rigorous use environment of correctional facilities and provides a Spare Tablet Program to County with an allowance of spare tablets equal to 10% of the total tablets offered. Under ordinary use conditions, the Spare Tablet Program includes repair or replacement as needed at no cost to County. However, Tablets that are deliberately misused or damaged shall not be covered under the Program. All tablets are required to be returned upon termination of the Agreement. Termination of the Agreement prior to the completion of the Initial Term will require the County to reimburse ICS for the cost of all unrecovered costs for the tablets, including but not limited to unrecovered depreciation and the set up and installation of services used through the tablets (e.g., phone service), prorated for each month that would have otherwise remained in the Initial Term. B. Exclusions from Free Replacement Coverage: While ICS is committed to supporting County in maintaining operational efficiency and User satisfaction, it is understood that the Spare Tablet Program does not extend coverage to tablets that have been physically damaged, which includes but not limited to the following: - Screens that are shattered, cracked, or otherwise compromised. - Audio jack damage - Tablets with missing pieces or parts, indicating tampering or attempts to disassemble. - Damage resulting from attempts to open the tablet casing unauthorizedly. - Any form of physical alterations that deviate from the tablet's original condition as supplied. - Lost or stolen tablets while under the County’s supervision. C. Procedure for Reporting Damages: County shall report any damages to tablets within a reasonable timeframe from the occurrence of the damage or, at minimum, monthly. The report should include a detailed description of the condition of the damaged tablet, accompanied by photographic evidence when applicable. County shall return damaged tablets to ICS, or its designee, within thirty (30) calendar days of becoming damaged or prior to the County accumulating more than ten (10) damaged tablets, whichever is earlier. D. Assessment and Determination: Upon receiving the tablets ICS will assess the condition against the exclusions listed in paragraph B, above. Tablets deemed by ICS, in its reasonable discretion, to have been damaged due to reasons covered under the exclusions will not be eligible for free replacement under the Spare Tablet Program. In such event, County may opt to purchase replacement tablets at the cost in effect at the time. E. Responsibility and Care: County agrees to educate and enforce proper care and use of the tablets among the User population to minimize incidents of deliberate damage. ICS will provide County with care and handling guidelines to be communicated to Users as needed. At the discretion of ICS, Users may be required to agree and / or accept terms and conditions of tablet usage (“Terms of Use”). 30 of 40 (Door County, WI) - CONFIDENTIAL - Page 12 of 14 F. County Board has passed resolutions 2025-84, 2026-07, and 2026-40 relating to the middle station project. Additionally, the 2025 CIP included $500,000 with $900,000 included in the 2026 CIP for this project. Analysis: At this time, the exact location of the proposed station has not been selected. The CIP request will be for a stand-alone station costing $2.3 million. County Board resolution 2026-40 authorized staff to obtain a feasibility study to further assess three potential locations as defined by resolution 2026-07. In addition to the initial construction costs there will be yearly costs associated with the new station. We estimate utilities and maintenance will be approximately $15,000 annually. The department may also need to add additional full-time staff, the worst case being six positions. These positions would come with an approximate annual cost of $720,000. We are evaluating staffing models and existing staff levels prior to any official budgetary request related to this project. At this time, no staffing request has been submitted for the 2027 budget. Recommendation: After a comprehensive review by staff and the support of County Board, we are confident the remaining balance of $900,000 should be included in the 2027 CIP bringing the total to $2,300,000 allocated to the project. The feasibility study is in progress to evaluate three options (Green Stie, Existing Building, Town of Jacksonport) to determine related costs and the CIP will be updated as necessary once the study is complete. 38 of 40 Door County Communications Center 1201 S Duluth Ave Sturgeon Bay, WI 54235 Director: Brenda Bley (920) 746-2407 bbley@co.door.wi.us Communications Monthly Report May 2026 Call Volume May 2026 YTD 2026 May 2025 YTD 2025 911 Line 784 3,136 774 3,287 Non – Emergency 2,503 10,991 2,325 10,343 Total 3,287 14,127 3,099 13,630 Peak Call Times Top 5 Calls 1. 911 Follow Up – 8.00% 2.
