Sevastopol Business Association Ad Hoc Committee
Date: Tuesday, August 4, 2026
Time: 1:00pm-3:00pm
Location: Sevastopol Town Hall – Small Conference Room or Meeting Room
Call to Order. The meeting was called to order by Chair, Stacie Denil at 1:00 p.m. The
following members were present and constitute a quorum. Stacie Denil, Jean Elste, and Jeanne
Vogel.
Also in attendance: Amy M Flok/Clerk, Linda Wait, Heather Hoffmann, Melissa Ripp,
Dawn Germschield, Connie Judd, Jan Zahn, Carolyn Ripp, Steve Laubenstein, Kate Laubenstein,
and Josh CoryYaeggi.
Approval of Previous Minutes. (June 18
th, 2026). Motioned by Jean second by Jeanne to
approve the minutes of June 18th, 2026. Motion carried.
Review of Business Association Progress. Stacie stated that the Business Meeting mixer went
very well. The first night wasn’t as well attended, but the second night was. The Sevastopol
Business Association wants to make our own brand and come together in unity.
Creating an Association Board. Stacie allowed the audience to talk about who wanted to serve
on a Board. The people who volunteered were Linda Wait, Josh Cory Yaeggi, Dawn
Germschied, Heather Hoffmann, Maria Milano, Carolyn Ripp and Connie Judd.
Organizational Formation (Review Documents Provided as Examples for Association). The
group spoke about becoming a 501C3 or a 501C6. The group ultimately decided to go with
501C6. Dawn Germscheid and Linda Wait are comfortable coming up with a draft of the bylaws
and then come back to the Business Association. From there, they will consider sending it to an
attorney for final review. Bay Shore Inn will pay $35.00 to complete the articles of incorporation
with the State of Wisconsin but as we went on filling out the initial application, it appeared easier
if we had the person completing the application (Linda Wait) pay to file it. Josh from Bay Shore
Inn was a part of Destination Sturgeon Bay during the time that they updated their bylaws. He
stated that the members did the initial work and then they took it to an attorney for review. All
the businesses here are willing to chip in $100 to be able to pay for the filing fees and potential
attorney expenses. The official name of the group will be Sevastopol Business Association, Inc.
Motion by Josh Cory Yaeggi and second by Melissa Ripp to have the Town hall’s address (4528
STH 57, Sturgeon Bay, WI 54235) to be the initial address but will be changed to a P.O. Box
once things have been established. Motion carried unanimously
Motion by Dawn Germschid and second by Connie Judd to have Linda Wait be the registered
agent. Motion carried unanimously.
Motion by Connie Judd and second by Josh Cory Yaeggi to initially use Linda Wait’s email
address for the first filings, but it will be changed once everything is established. Motion carried
unanimously.
Everyone in attendance, minus Jan Zahn, will be filed as incorporators. The group decided not
to fill out Article 7 of the application since it is optional. Dawn Germscheid will start working
on the bylaws. They will plan subsequent meetings on Wednesdays between 12 (Noon) and
2:00 p.m. At the next meeting, they will look at the proposed bylaws and establish a Board.
Schedule Future Meetings. The next meeting will be Wednesday, August 19, 2026, from 12
(Noon) to 2:00 p.m.
Closing Remarks. Linda Wait will work on a draft agenda with Stacie Denil for the Sevastopol
Business Association.
Adjourn. Motioned by Jean Elste and second by Jeanne Vogel to adjourn. Motioned carried and
the meeting adjourned at 2:14 p.m.
Respectfully submitted,
Amy M. Flok, Clerk
