City of Plymouth Plan Commission
UNOFFICIAL MINUTES
Mayor Pohlman called the meeting to order at 6:00 PM on April 9, 2026. The following
members were present: Jane Meyer, Jeremy Schellin, Jeremy Schmitz, Ron Nicolaus, John
Wyatt, and Angie Matzdorf. Also present: City Administrator/Utilities Manager Tim Blakeslee,
Interim Fire Chief Mike Birschbach
1.) Call to Order & Roll Call: Mayor Pohlman called the meeting to order at 6:00 pm. The
meeting began with a roll call of the Plan Commission.
2.) Approval of Minutes from March 5, 2026. Motion was made by Nicolaus/Matzdorf to
approve the minutes. Upon the call of the roll, all voted aye. Motion carried.
3.) Recommendation of Extraterritorial Certified Survey Map; 1014 Short Cut Road –
located on Short Cut Road and CTH PP in the Town of Plymouth; for a 2-lot certified
survey map. Brunner (enclosure)
Stefani Brunner has submitted an extraterritorial CSM to divide land they own along Short
Cut Road and CTH PP in the Town of Plymouth. The property as it exists now is
approximately 1.98 acres and includes a home and driveway off of Short Cut Road, along
with various outbuildings.
Motion was made by Nicolaus/Wyatt to recommend that the Common Council approve the
extraterritorial certified survey map for 1014 Short Cut Road as presented. Upon the call of
the roll, all voted aye. Motion carried.
4.) Recommendation of Extraterritorial Certified Survey Map; N5908 Willow Road –
located on Willow Road and STH 23 in the Town of Plymouth; for a 4-lot certified
survey map. Van Horn Properties of Plymouth, LLC (enclosure)
Earlier this year, the City approved an extraterritorial CSM for the Van Horn property along
Willow Road and STH 23 in the Town of Plymouth after they acquired about 5 acres of land
from the Kleinhans Trust to the west of their existing property. Now, they are coming back
with a fresh CSM to adjust the lines of ownership as multiple LLCs under the Van Horn
umbrella.
Further, existing parcel 59016219022 (the main Van Horn property at N5908 Willow Road)
is planned to have a small addition onto the service drive, but needs additional space to
install that drive to meet setback requirements.
As this property is within the City’s 1.5 -mile buffer for extraterritorial review as fourth- class
City, Plan Commission and Common Council approval are required for CSMs in this area.
The Town of Plymouth approved this CSM at their meeting on March 10, 2026.
Motion was made by Nicolaus/Schmitz to recommend that the Common Council approve
the extraterritorial certified survey map for N5908 Willow Road as presented. Upon the call
of the roll, all voted aye. Motion carried.
5.) Recommendation of Extraterritorial Certified Survey Map; W5790 Emerald Lane
(parcel #59016225160) – located on Emerald Lane in the Town of Plymouth; for a 3-
lot certified survey map. Wolf (enclosure)
Bart Wolf has submitted an extraterritorial CSM to divide land they own along on Emerald
Lane in the Town of Plymouth. This area is within the 1.5- mile buffer for City of Plymouth
extraterritorial review and approval.
The lot is currently out-lot 1 of the Emerald Hills subdivision and is approximately 3 acres in
size. The CSM would divide the lot into three new lots each one acre in size. Mr. Wolf has
communicated to the City that he plans to build three spec homes on the property once the
land division is completed.
Staff discussed the layout of Emerald Lane along the southern frontage of these proposed
lots. Though this is a Town of Plymouth road, city staff has had discussions with the
landowner on how they plan to provide emergency vehicle access. Mr. Wolf has
communicated that they have began discussions with the Town on vacating the town right-
of-way for this section of Emerald Lane and turn it into a shared driveway. From the City’s
perspective, as long as emergency vehicle access is adequate, the City does not have a
preference on if the entrance is Town right-of-way or a private driveway.
Motion was made by Nicolaus/Wyatt to recommend that the Common Council approve the
extraterritorial certified survey map for 1014 Short Cut Road with the following
contingencies:
• The installation of at a minimum 20’ wide access for public safety vehicles.
• Approval of the CSM from the Town of Plymouth
Upon the call of the roll, all voted aye. Motion carried.
6.) Concept Plan Seeking Feedback; Regarding a concept site plan to construct three
12-unit apartment buildings on the former Willowglen Academy property at 1111
Reed Street in the R-4 Multi-Family Residential District Stroebel (enclosure)
Trevor Stroebel has submitted a concept plan for the former Willowglen Academy property
at 1111 Reed Street to develop the property with three 12- unit apartment buildings. The
development would include a mix of one and two bedroom units, as well as a mix of garage
and off -street surface lot parking options for residents. The former Willowglen Academy
building would be razed as part of this project. The applicant is seeking general feedback
from the Plan Commission before coming back with a formal submittal.
Trevor Stroebel and Troy Hartjes were present for the meeting. Mr. Stroebel is the developer
and Mr. Hartjes is their engineer from raSmith. Mr. Stroebel presented a summary of the
project, explaining that they are proposing three 12-unit apartment buildings for the site and
also have an option to purchase a vacant lot on Clifford Street directly to the south for a
utility easement. The access would come off of Reed St and there would be a stormwater
retention pond on the southside of the property.
The general consensus of the Plan Commission was positive and for the applicant to submit
a formal application for site plan review.
7.) Preliminary Plat Seeking Approval; Consideration of an amended preliminary plat
for a 102-lot residential subdivision along Pleasant View Road (parcel 59271821084
& 59271821085) to be known as Scholar’s Ridge. Sheboygan County Economic
Development Corporation (enclosure)
In April of 2025, the Plan Commission approved a preliminary plat for a 94- lot single family
residential subdivision along Pleasant View Road by the Sheboygan County Economic
Development Corporation (SCEDC). The Plan Commission also approved a two- lot CSM
and rezone for a separate multi-family development on the southern side of the property to
be undertaken by a separate developer. That development would have been separate from
the SCEDC project.
Presently, SCEDC has informed staff that the multi -family development is no longer being
considered. As a result, SCEDC is proposing a new preliminary plat that adds 8 new
residential lots to the subdivision, bringing the total number of residential lots from 94 to 102.
Recall that a rezone petition for the southern property from R -4 Multi-Family Residential to
R-5 Traditional Family Residential was approved by the Plan Commission and Common
Council last month in order to have uniform zoning for this new, expanded area for the
subdivision.
Dave Biebel and TJ Crowns were present from SCEDC, along with Matthew Matt
Boekenhauer from Abacus Architects.
Motion was made by Schmitz/Schellin to approve the revised preliminary plat for a 102-lot
residential subdivision along Pleasant View Road (parcel 59271821084 & 59271821085)
to be known as Scholar’s Ridge, contingent on the following:

RE: Approval of Resolution No. 14 Authorizing the Issuance and Sale of not to
Exceed $11,675,000 General Obligation Promissory Notes, Series 2026A
Background: As part of the 2026-7 Capital Improvement Plan, the City intends to issue debt for
the Grove Street Reconstruction (2026), City Park Rehabilitation (2026), Watermain Loop (2026),
Well 18 Engineering (2026), Sanitary Force Main (2026), Fire Truck (2027), and a 2027 road
project. Given the upcoming debt related capital project list is essentially set, the city is proposing
to conduct the borrowing for 2026 and 2027 together to save the issuance costs to conduct a
separate borrowing next year. Also, the 2026 and 2027 ATC capital calls are not included as a
legal determination was made by bond counsel that they are ineligible for tax exempt financing.
ATC capital calls will be discussed at a future meeting.
Due to the complexities involved in municipal debt issuance, the City works with Ehlers, to
provide necessary support. Ehlers' expertise will ensure the City secures favorable interest
rates.

Ehlers has prepared and will present a presale report at the Common Council meeting tonight.
The full report is included as Attachment 1.
The Series 2026 A issuance aligns with our strategic plan to finance key projects over the next
several years. Important considerations include:
• The City's current debt limit usage is ~16%, leaving 84% of capacity available (as of late-
2025).
• Due to the successful closure of TID #4 two years ago , the City gain ed a levy limit
adjustment of approximately $350,000 without increasing the taxpayer burden. This
closure will continue to influence the mill rate related to debt in 2027, as only half of the
closure’s impact is usable for levy limit adjustments.
• Staff recommends leveraging the TID closure levy adjustment and claiming abated debt
to support capital projects within the 2026 assessed mill rate.
• The presale report contains preliminary debt schedules and estimated issuance amounts,
though this will be finalized as the sale completes.
• The presale report indicates the tax impact per household specific to this financing plan
only; it does not predict the overall tax rate for 2027 . The objective remains a minimal
overall tax levy increase tied to long-term capital projects, with exact details to be finalized
during the 2027 budget preparations.
• Initiating the funding process now positions the City advantageously for these critical
projects.

Bank Qualification:
Because the City is expecting to issue no more than $10,000,000 in tax exempt debt during
the calendar year, the City will be able to designate the Notes as “bank qualified” obligations.
Bank qualified status broadens the market for the Notes, which can re
sult in lower interest
rates.
Rating:
The City’s most recent bond issues were rated by Moody’s Investors Service. The current
rating on those bonds is “Aa2”. The City will request a new rating for the Notes.
If the winning bidder on the Notes elects to purchase bond insurance, the rating for the issue
may be higher than the City's bond rating in the event that the bond rating of the insurer is
higher than that of the City.
Basis for Recommendation:
Based on your objectives, financial situation and need, risk tolerance, liquidity needs,
experience with the issuance of
Note
s
and long
-
term financial capacity, as well as the tax
status considerations related to the
Note
s and the structure, timing and other similar matters
related to the
Note
s, we are recommending the issuance of
Note
s as a suitable option
.
Ehlers
has reviewed other reasonably feasible alternatives to the recommended issuance of
municipal securities.
Method of Sale/Placement:
We are recommending the Notes be issued as municipal securities and offered through a
competitive underwriting process. You will solicit competitive bids, which we will compile on
your behalf, for the purchase of the Notes from underwriters and banks.
An allowance for discount bidding will be incorporated in the terms of the issue. The discount
is treated as an interest item and provides the underwriter with all or a portion of their
compensation in the transaction.
If the
Notes
are purchased at a price greater than the minimum bid amount (maximum
discount), the unused allowance may be used to reduce your borrowing amount.
Premium Pricing:
In some cases, investors in municipal bonds prefer “premium” pricing structures. A premium
is achieved when the coupon for any maturity (the interest rate paid by the issuer) exceeds
the yield to the investor, resulting in a price paid that is greater than
the face value of the
bonds. The sum of the amounts paid in excess of face value is considered “reoffering
premium.”
For this issue of Notes, any premium amount received that is in excess of the
underwriting discount and any capitalized interest amounts m
ust be placed in the debt service

3
fund and used to pay a portion of the interest payments due on the Notes. We anticipate
using any premium amounts received to reduce the issue size.
The amount of premium allowed can be restricted in the bid specifications. Restrictions on
premium may result in fewer bids, but may also eliminate large adjustments on the day of sale
and unintended results with respect to debt service payment impacts. Eh
lers will identify
appropriate premium restrictions for the Notes intended to achieve the City’s objectives for
this financing.
Parameters:
The Common Council will consider adoption of a Parameters Resolution on May 26, 2026,
which delegates authority to the
Finance
Manager
or
City Administrator
to accept and
approve a bid for the
Notes so long as the bid meets certain parameters. These parameters
are:
* Issue size not to exceed $
11,675,000
* Maximum Bid of
110.00
%
* Minimum Bid of
98.75
%
* Maximum True Interest Cost (TIC) of
5.00
%
* Maturity Schedule Adjustments
may increase by up to $490,000 or decrease by up to
$180,000 per maturity for maturities in 2027 through 2046.
Other Considerations:
T
he
Notes
will be offered with the option of the successful bidder utilizing a term bond
structure. By offering underwriters the option to “term up” some of the maturities at the time
of the sale, it gives them more flexibility in finding a market for your
Notes
. This makes your
issue more marketable, which can result in lower borrowing costs. In the event that the
successful bidder utilizes a term bond structure, we recommend the City retain a paying agent
to handle responsibility for processing mandatory r
edemption/call notices associated with
term bonds.
Review of Existing Debt:
We have reviewed all outstanding indebtedness for the City and find that there are no
refunding opportunities at this time.
We will continue to monitor the market and the call dates for the City’s outstanding debt and
will alert you to any future refunding opportunities.

Continuing Disclosure:
Because
the City has more than $10,000,000 in outstanding debt subject to a continuing
disclosure undertaking (including this issue) and this issue does not meet an available
exemption from continuing disclosure, the City will be agreeing to provide certain updat
ed
Annual Financial Information and its Audited Financial Statement annually, as well as
providing notices of the occurrence of certain reportable events to the Municipal Securities
Rulemaking Board (the “MSRB”), as required by rules of the Securities and
Exchange
Commission (SEC).
The City is already obligated to provide such reports for its existing
bonds, and has contracted with Ehlers to prepare and file the reports.
Arbitrage Monitoring:
The City
must ensure compliance with certain sections of the Internal Revenue Code and
Treasury Regulations (“Arbitrage Rules”) throughout the life of the issue to maintain the tax
-
exempt status of the Notes. These Arbitrage Rules apply to amounts held in construc
tion,
escrow, reserve, debt service account(s), etc., along with related investment income on each
fund/account.
IRS audits will verify compliance with rebate, yield restriction and records retention
requirements within the Arbitrage Rules. The City’s specific arbitrage responsibilities will be
detailed in the Tax Exemption Certificate (the “Tax Compliance Document”)
prepared by your
Bond Attorney and provided at closing.
The Notes may qualify for one or more exception(s) to the Arbitrage Rules by meeting 1) small
issuer exception, 2) spend down requirements, 3) bona fide debt service fund limits, 4)
reasonable reserve requirements, 5) expenditure within an available period
limitations, 6)
investments yield restrictions, 7) de minimis rules, or; 8) borrower limited requirements.
An Ehlers arbitrage expert will contact the City within 30 days after the sale date to review
the City’s specific responsibilities for the Notes. The City is currently receiving arbitrage
services from Ehlers in relation to the Notes.
Investment of Note Proceeds:
Ehlers can assist the
City
in developing a strategy to invest your
Note proceeds until
the funds
are needed to pay project costs
.
Risk Factors:
G.O. with Planned Abatement:
The issuer is abating all or a portion of G.O. debt service
payments for the issue with
tax incremental revenue
s from TIDs 9 & 10
, water utility revenues,
and
sewer utility revenues
.
In the event
this/these
revenue
s
are
not available, the City is
obligated to levy property taxes in an amount sufficient to make all debt payments.

Other Service Providers:
This debt issuance will require the engagement of other public finance service providers. This
section identifies those other service providers, so Ehlers can coordinate their engagement
on your behalf. Where you have previously used a particular firm to p
rovide a service, we have
assumed that you will continue that relationship.
For services you have not previously
required, we have identified a service provider. Fees charged by these service providers will
be paid from proceeds of the obligation, unless y
ou notify us that you wish to pay them from
other sources.
Our pre
-
sale bond sizing includes a good faith estimate of these fees, but the
final fees may vary.
If you have any questions pertaining to the identified service providers or
their role, or if you
would like to use a different service provider for any of the listed services

Section 4. Form of the Notes. The Notes shall be issued in registered form and shall be
executed and delivered in substantially the form attached hereto as Exhibit B and incorporated
herein by this reference.
Section 5. Tax Provisions.
(A) Direct Annual Irrepealable Tax Levy. For the purpose of paying the
principal of and interest on the Notes as the same becomes due, the full faith, credit and
resources of the City are hereby irrevocably pledged, and there is hereby levied upon all of the
taxable property of the City a direct annual irrepealable tax in the years 2026 through 2045 for
the payments due in the years 2027 through 2046 in the amounts as are sufficient to meet the
principal and interest payments when due.
(B) Tax Collection. So long as any part of the principal of or interest on the
Notes remains unpaid, the City shall be and continue without power to repeal such levy or
obstruct the collection of said tax until all such payments have been made or provided for. After
the issuance of the Notes, said tax shall be, from year to year, carried onto the tax roll of the City
and collected in addition to all other taxes and in the same manner and at the same time as other
taxes of the City for said years are collected, except that the amount of tax carried onto the tax
roll may be reduced in any year by the amount of any surplus money in the Debt Service Fund
Account created below.
(C) Additional Funds. If at any time there shall be on hand insufficient funds
from the aforesaid tax levy to meet principal and/or interest payments on said Notes when due,
the requisite amounts shall be paid from other funds of the City then available, which sums shall
be replaced upon the collection of the taxes herein levied.
Section 6. Segregated Debt Service Fund Account.
(A) Creation and Deposits. There shall be and there hereby is established in the
treasury of the City, if one has not already been created, a debt service fund, separate and distinct
from every other fund, which shall be maintained in accordance with generally accepted
accounting principles. Debt service or sinking funds established for obligations previously
issued by the City may be considered as separate and distinct accounts within the debt service
fund.
Within the debt service fund, there hereby is established a separate and distinct account
designated as the "Debt Service Fund Account for General Obligation Promissory Notes,
Series 2026A" (the "Debt Service Fund Account") and such account shall be maintained until the
indebtedness evidenced by the Notes is fully paid or otherwise extinguished. There shall be
deposited into the Debt Service Fund Account (i) all accrued interest received by the City at the
time of delivery of and payment for the Notes; (ii) any premium which may be received by the
City above the par value of the Notes and accrued interest thereon; (iii) all money raised by the
taxes herein levied and any amounts appropriated for the specific purpose of meeting principal of
and interest on the Notes when due; (iv) such other sums as may be necessary at any time to pay
principal of and interest on the Notes when due; (v) surplus monies in the Borrowed Money

Fund as specified below; and (vi) such further deposits as may be required by Section 67.11,
Wisconsin Statutes.
(B) Use and Investment. No money shall be withdrawn from the Debt Service
Fund Account and appropriated for any purpose other than the payment of principal of and
interest on the Notes until all such principal and interest has been paid in full and the Notes
canceled; provided (i) the funds to provide for each payment of principal of and interest on the
Notes prior to the scheduled receipt of taxes from the next succeeding tax collection may be
invested in direct obligations of the United States of America maturing in time to make such
payments when they are due or in other investments permitted by law; and (ii) any funds over
and above the amount of such principal and interest payments on the Notes may be used to
reduce the next succeeding tax levy, or may, at the option of the City, be invested by purchasing
the Notes as permitted by and subject to Section 67.11(2)(a), Wisconsin Statutes, or in permitted
municipal investments under the pertinent provisions of the Wisconsin Statutes ("Permitted
Investments"), which investments shall continue to be a part of the Debt Service Fund Account.
Any investment of the Debt Service Fund Account shall at all times conform with the provisions
of the Internal Revenue Code of 1986, as amended (the "Code") and any applicable Treasury
Regulations (the "Regulations").
(C) Remaining Monies. When all of the Notes have been paid in full and
canceled, and all Permitted Investments disposed of, any money remaining in the Debt Service
Fund Account shall be transferred and deposited in the general fund of the City, unless the
Common Council directs otherwise.
Section 7. Proceeds of the Notes; Segregated Borrowed Money Fund. The proceeds of
the Notes (the "Note Proceeds") (other than any premium and accrued interest which must be
paid at the time of the delivery of the Notes into the Debt Service Fund Account created above)
shall be deposited into a special fund (the "Borrowed Money Fund") separate and distinct from
all other funds of the City and disbursed solely for the purpose or purposes for which borrowed.
Monies in the Borrowed Money Fund may be temporarily invested in Permitted Investments.
Any monies, including any income from Permitted Investments, remaining in the Borrowed
Money Fund after the purpose or purposes for which the Notes have been issued have been
accomplished, and, at any time, any monies as are not needed and which obviously thereafter
cannot be needed for such purpose(s) shall be deposited in the Debt Service Fund Account.
Section 8. No Arbitrage. All investments made pursuant to this Resolution shall be
Permitted Investments, but no such investment shall be made in such a manner as would cause
the Notes to be "arbitrage bonds" within the meaning of Section 148 of the Code or the
Regulations and an officer of the City, charged with the responsibility for issuing the Notes, shall
certify as to facts, estimates, circumstances and reasonable expectations in existence on the date
of delivery of the Notes to the Purchaser which will permit the conclusion that the Notes are not
"arbitrage bonds," within the meaning of the Code or Regulations.
Section 9. Compliance with Federal Tax Laws. (a) The City represents and covenants
that the projects financed by the Notes and the ownership, management and use of the projects
will not cause the Notes to be "private activity bonds" within the meaning of Section 141 of the
Code. The City further covenants that it shall comply with the provisions of the Code to the

extent necessary to maintain the tax-exempt status of the interest on the Notes including, if
applicable, the rebate requirements of Section 148(f) of the Code. The City further covenants
that it will not take any action, omit to take any action or permit the taking or omission of any
action within its control (including, without limitation, making or permitting any use of the
proceeds of the Notes) if taking, permitting or omitting to take such action would cause any of
the Notes to be an arbitrage bond or a private activity bond within the meaning of the Code or
would otherwise cause interest on the Notes to be included in the gross income of the recipients
thereof for federal income tax purposes. The City Clerk or other officer of the City charged with
the responsibility of issuing the Notes shall provide an appropriate certificate of the City
certifying that the City can and covenanting that it will comply with the provisions of the Code
and Regulations.
(b) The City also covenants to use its best efforts to meet the requirements and
restrictions of any different or additional federal legislation which may be made applicable to the
Notes provided that in meeting such requirements the City will do so only to the extent
consistent with the proceedings authorizing the Notes and the laws of the State of Wisconsin and
to the extent that there is a reasonable period of time in which to comply.
Section 10. Execution of the Notes; Closing; Professional Services. The Notes shall be
issued in printed form, executed on behalf of the City by the manual or facsimile signatures of
the Mayor and City Clerk, authenticated, if required, by the Fiscal Agent (defined below), sealed
with its official or corporate seal, if any, or a facsimile thereof, and delivered to the Purchaser
upon payment to the City of the purchase price thereof, plus accrued interest to the date of
delivery (the "Closing"). The facsimile signature of either of the officers executing the Notes
may be imprinted on the Notes in lieu of the manual signature of the officer but, unless the City
has contracted with a fiscal agent to authenticate the Notes, at least one of the signatures
appearing on each Note shall be a manual signature. In the event that either of the officers
whose signatures appear on the Notes shall cease to be such officers before the Closing, such
signatures shall, nevertheless, be valid and sufficient for all purposes to the same extent as if they
had remained in office until the Closing. The aforesaid officers are hereby authorized and
directed to do all acts and execute and deliver the Notes and all such documents, certificates and
acknowledgements as may be necessary and convenient to effectuate the Closing. The City
hereby authorizes the officers and agents of the City to enter into, on its behalf, agreements and
contracts in conjunction with the Notes, including but not limited to agreements and contracts for
legal, trust, fiscal agency, disclosure and continuing disclosure, and rebate calculation services.
Any such contract heretofore entered into in conjunction with the issuance of the Notes is hereby
ratified and approved in all respects.
Section 11. Payment of the Notes; Fiscal Agent. The principal of and interest on the
Notes shall be paid by Bond Trust Services Corporation, which is hereby appointed as the City's
registrar and fiscal agent pursuant to the provisions of Section 67.10(2), Wisconsin Statutes (the
"Fiscal Agent"). The City hereby authorizes the Mayor and City Clerk or other appropriate
officers of the City to enter into a Fiscal Agency Agreement between the City and the Fiscal
Agent. Such contract may provide, among other things, for the performance by the Fiscal Agent
of the functions listed in Wis. Stats. Sec. 67.10(2)(a) to (j), where applicable, with respect to the
Notes.
QB\102561843.1
-6-
Section 12. Persons Treated as Owners; Transfer of Notes. The City shall cause books
for the registration and for the transfer of the Notes to be kept by the Fiscal Agent. The person in
whose name any Note shall be registered shall be deemed and regarded as the absolute owner
thereof for all purposes and payment of either principal or interest on any Note shall be made
only to the registered owner thereof. All such payments shall be valid and effectual to satisfy
and discharge the liability upon such Note to the extent of the sum or sums so paid.
Any Note may be transferred by the registered owner thereof by surrender of the Note at
the office of the Fiscal Agent, duly endorsed for the transfer or accompanied by an assignment
duly executed by the registered owner or his attorney duly authorized in writing. Upon such
transfer, the Mayor and City Clerk shall execute and deliver in the name of the transferee or
transferees a new Note or Notes of a like aggregate principal amount, series and maturity and the
Fiscal Agent shall record the name of each transferee in the registration book. No registration
shall be made to bearer. The Fiscal Agent shall cancel any Note surrendered for transfer.
The City shall cooperate in any such transfer, and the Mayor and City Clerk are
authorized to execute any new Note or Notes necessary to effect any such transfer.
Section 13. Record Date. The 15th day of the calendar month next preceding each
interest payment date shall be the record date for the Notes (the "Record Date"). Payment of
interest on the Notes on any interest payment date shall be made to the registered owners of the
Notes as they appear on the registration book of the City at the close of business on the Record
Date.
Section 14. Utilization of The Depository Trust Company Book-Entry-Only System. In
order to make the Notes eligible for the services provided by The Depository Trust Company,
New York, New York ("DTC"), the City agrees to the applicable provisions set forth in the
Blanket Issuer Letter of Representations, which the City Clerk or other authorized representative
of the City is authorized and directed to execute and deliver to DTC on behalf of the City to the
extent an effective Blanket Issuer Letter of Representations is not presently on file in the City
Clerk's office.
Section 15. Payment of Issuance Expenses. The City authorizes the Purchaser to
forward the amount of the proceeds of the Notes allocable to the payment of issuance expenses
to a financial institution selected by Ehlers at Closing for further distribution as directed by
Ehlers.
Section 16. Condition on Issuance and Sale of the Notes. The issuance of the Notes and
the sale of the Notes to the Purchaser are subject to approval by an Authorized Officer of the
principal amount, definitive maturities, redemption provisions, interest rates and purchase price
for the Notes, which approval shall be evidenced by execution by an Authorized Officer of the
Approving Certificate.
The Notes shall not be issued, sold or delivered until this condition is satisfied. Upon
satisfaction of this condition, an Authorized Officer is authorized to execute a Proposal with the
Purchaser providing for the sale of the Notes to the Purchaser.
QB\102561843.1
-7-
Section 17. Official Statement. The Common Council hereby directs an Authorized
Officer to approve the Preliminary Official Statement with respect to the Notes and deem the
Preliminary Official Statement as "final" as of its date for purposes of SEC Rule 15c2-12
promulgated by the Securities and Exchange Commission pursuant to the Securities and
Exchange Act of 1934 (the "Rule"). All actions taken by an Authorized Officer or other officers
of the City in connection with the preparation of such Preliminary Official Statement and any
addenda to it or final Official Statement are hereby ratified and approved. In connection with the
Closing, the appropriate City official shall certify the Preliminary Official Statement and any
addenda or final Official Statement. The City Clerk shall cause copies of the Preliminary
Official Statement and any addenda or final Official Statement to be distributed to the Purchaser.
Section 18. Undertaking to Provide Continuing Disclosure. The City hereby covenants
and agrees, for the benefit of the owners of the Notes, to enter into a written undertaking (the
"Undertaking") if required by the Rule to provide continuing disclosure of certain financial
information and operating data and timely notices of the occurrence of certain events in
accordance with the Rule. The Undertaking shall be enforceable by the owners of the Notes or
by the Purchaser on behalf of such owners (provided that the rights of the owners and the
Purchaser to enforce the Undertaking shall be limited to a right to obtain specific performance of
the obligations thereunder and any failure by the City to comply with the provisions of the
Undertaking shall not be an event of default with respect to the Notes).
To the extent required under the Rule, the Mayor and City Clerk, or other officer of the
City charged with the responsibility for issuing the Notes, shall provide a Continuing Disclosure
Certificate for inclusion in the transcript of proceedings, setting forth the details and terms of the
City's Undertaking.
Section 19. Record Book. The City Clerk shall provide and keep the transcript of
proceedings as a separate record book (the "Record Book") and shall record a full and correct
statement of every step or proceeding had or taken in the course of authorizing and issuing the
Notes in the Record Book.
Section 20. Bond Insurance. If the Purchaser determines to obtain municipal bond
insurance with respect to the Notes, the officers of the City are authorized to take all actions
necessary to obtain such municipal bond insurance. The Mayor and City Clerk are authorized to
agree to such additional provisions as the bond insurer may reasonably request and which are
acceptable to the Mayor and City Clerk including provisions regarding restrictions on investment
of Note proceeds, the payment procedure under the municipal bond insurance policy, the rights
of the bond insurer in the event of default and payment of the Notes by the bond insurer and
notices to be given to the bond insurer. In addition, any reference required by the bond insurer to
the municipal bond insurance policy shall be made in the form of Note provided herein.

Section 21. Conflicting Resolutions; Severability; Effective Date. All prior resolutions,
rules or other actions of the Common Council or any parts thereof in conflict with the provisions
hereof shall be, and the same are, hereby rescinded insofar as the same may so conflict. In the
event that any one or more provisions hereof shall for any reason be held to be illegal or invalid,
such illegality or invalidity shall not affect any other provisions hereof. The foregoing shall take
effect immediately upon adoption and approval in the manner provided by law.

RE: Approve Amendment to the Ski-Hill Design
Background: The Ski-Hill group is regrading the hill to make improvements related to tubing. The
current agreement with the ski hill group requires site plan changes to be approved by the
Common Council.
The proposed change reduces the grade of the hill to help slow tubing speeds. As part of the
regrading work, the group will also bury the water pipe deeper and reseed the hill once the work
is complete.
Staff does have some concerns about future runoff while the hill is being reestablished after
reseeding. Staff will continue working with the Ski -Hill group after the work is completed on any
needed mitigation measures.
Staff Recommendation:
Approve the Amendment to the Ski-Hill Design.

RE: New Raw Sewage Pumps and Force Main Project
Mead & Hunt has submitted a proposal to provide detailed engineering services for improvements to the
Plymouth Wastewater Treatment Plant influent pumping system and force main. The proposed work is
intended to address aging infrastructure and provide capacity improvements needed to accommodate future
growth identified in the City’s sanitary sewer study and ongoing wastewater facility planning efforts.
The proposal outlines the design of a new 1,400-
linear-foot influent force main and upgrades to the
existing raw sewage pumps at the Wastewater
Treatment Plant. The current pumps were installed
in 1992 and the existing 16-inch ductile iron force
main was originally constructed in 1976. The
existing system is no longer capable of reliably
achieving the plant’s rated peak flow capacity due to
age-related deterioration and size restrictions within
the existing force main.
The engineering services proposed by Mead & Hunt
include project management, field investigations,
utility locating, geotechnical analysis, site survey
work, preparation of a preliminary design report,
detailed engineering design, permitting coordination
with the Wisconsin Department of Natural
Resources, preparation of construction cost
estimates and schedules, and bidding services. The
proposal also includes geotechnical investigations
and feasibility analysis for horizontal directional
drilling near the Mullet River crossing.
As part of the project, Mead & Hunt will evaluate
two potential force main routing alternatives,
including a route generally following the existing
force main and an alternate route around the west
side of the treatment plant property.
2 | Page
The final deliverables will include bid-ready plans and specifications, construction cost estimates, a preliminary
construction schedule, Wisconsin DNR permit applications, and bidding support services. Mead & Hunt
anticipates beginning work within two weeks of authorization to proceed.
The proposed fee for the engineering services is a time-and-materials not-to-exceed amount of $243,900.
The project is split 53% for TID#9, 23% TID#10, 23% Sewer fund and paid for via the 2026A GO Notes.
Recommendation:
Staff recommends approval of the Mead & Hunt proposal for detailed engineering services for the influent
force main improvements at the Plymouth Wastewater Treatment Plant.

Subject: Proposal for Detailed Engineering for New Raw Sewage Pumps and Force Main
Plymouth, Wisconsin | Plymouth Wastewater Treatment Plant
Mead & Hunt Proposal No. M4666757-252659.01
Dear Ms. Austin,
Mead and Hunt, Inc. (Mead & Hunt) is submitting this proposal to the City of Plymouth, Wisconsin
(Plymouth), to provide detailed engineering for the addition of a new raw sewage force main and upgrade
of the raw sewage pumps for Plymouth’s wastewater treatment plant (WWTP).
This proposal is based on a verbal request for proposal from Plymouth made to Jon Butt of Mead & Hunt
on January 28, 2026.
PROJECT UNDERSTANDING
Plymouth owns and operates a WWTP that serves its customers within the City of Plymouth. Effluent
from the WWTP is discharged to the Mullet River in the Mullet River watershed, which is part of the
Sheboygan River basin. The WWTP’s effluent is regulated by Wisconsin Pollutant Discharge Elimination
System (WPDES) Permit No. WI-0030031-08-0. The permit is effective from January 1, 2024, to
December 31, 2028.
A sanitary sewer study for Plymouth was completed by Kapur and Associates in May 2024. The study’s
purpose was to assess the current sanitary sewer infrastructure at locations likely to be developed into
future residential, commercial, and industrial areas. The study estimated the WWTP could receive an
additional 5.14 MGD of flow after seven areas are developed.
In response to the May 2024 study findings, Plymouth contracted Mead & Hunt on October 11, 2024, to
evaluate the current WWTP capacity and identify needed future capital improvements. The evaluation,
conducted during late 2024 and subsequently presented to Plymouth, concluded that the fine screen, raw
sewage pumping, and final effluent filtration systems were the unit processes most limiting the WWTP’s
design capacity at that time.

The raw sewage pumping system consists of five centrifugal pumps, each with a nameplate capacity of
1,250 gallons per minute (gpm). Mead & Hunt understands the pumps were last replaced in 1992 and are
past their useful operating lives. Wastewater is conveyed from the raw sewage pumps to the primary
splitter box through a 1,400-foot-long, 16-inch-diameter ductile-iron force main originally built in 1976.
During discussions with WWTP staff, it was noted that only 5-6 MGD of flow could be produced with all
five pumps running at full capacity. It should be noted that the Plymouth WWTP is rated for a peak flow of
7.2 MGD. Being unable to meet the peak design flow suggests the inside diameter of the force main has
decreased over time due to buildup and tuberculation, leading to more restricted flow and increased
pressure losses.
This proposal describes the detailed engineering services required to add 1,400 LF of raw sewage force
main and upgrade the raw sewage pumps to handle both current capacity and future capacity, as
indicated in the new facility plan. To complete this project, we assume it will be completed concurrently
with the Facility Plan project, currently under contract with Mead & Hunt. The new facility plan will
establish the 20-year future wastewater flows and loadings that will serve as the design basis for the new
raw sewage force main and pumps.
Mead & Hunt has also included an analysis of two potential force main routes in this proposal. The first
route would closely follow the existing force main path, while the proposed alternative route would travel
around the west side of the WWTP. An aerial plan of the two potential force main routes is shown in
Figure 1 below.

PROJECT APPROACH
Development of the detailed design will be divided into core tasks as detailed in the Scope of Services,
led by Mead & Hunt’s Project Manager, and planned and coordinated with Plymouth. Mead & Hunt’s
Project Manager will be responsible for verifying that project details are addressed, resources are
allocated, schedule milestones are met, and the budget is maintained throughout the project cycle.
Project Manager and Staff Coordination
A key to a successful project is assigning a Project Manager with authority and responsibility to control
project aspects. Mead & Hunt’s Project Manager will be the primary contact for project decisions and
communications and will coordinate our team members' activities with Plymouth throughout the project.
Quality Assurance and Quality Control
Mead & Hunt has a formalized internal quality assurance/quality control (QA/QC) program that
incorporates QA/QC efforts throughout the project stages, from proposal preparation through project
completion. QA/QC is an integral part of every project and is essential for success. Our QA/QC team's
involvement begins at the project planning stage to confirm that it has been completed. Involvement
continues throughout the project with discipline-specific reviews.
SCOPE OF SERVICES
After receiving authorization to proceed, Mead & Hunt will complete the following tasks.
Task 1 | Project Management and Information Gathering
This task encompasses multiple activities that will be executed throughout the project's lifespan. These
activities include:
Project Kickoff Meeting | Mead & Hunt will host an in-person project kickoff meeting at a
location selected by Plymouth. Two engineers from Mead & Hunt will attend the meeting in

Minutes from kickoff meeting and monthly progress meetings.
Monthly invoices for services.
Task 2 | Field Services
Mead & Hunt plans to subcontract the following services for this project. One Mead & Hunt engineer will
provide on-site subcontractor oversight of these services. We have scheduled 2 days for on-site
subcontractor oversight.
Ground-Penetrating Radar and Utility Locating | We will subcontract a firm to perform a
ground-penetrating radar (GPR) scan to identify underground utilities within the proposed force
main area to clear geotechnical boring locations.
Geotechnical Analysis/Soil Boring | Mead & Hunt will subcontract a firm to perform soil borings
along two potential force main routes and a geotechnical analysis to identify soil characteristics
critical to the design and construction of the new force main. We anticipate that approximately
750 feet of the new force main will be installed by horizontal directional drilling (HDD) to cross the
Mullet River and WEPCO Electrical Overhead Transmission Easement. A geotechnical report will
be prepared to include the following:
o Groundwater levels observed during and after completion of drilling.
o Summary of subsurface conditions encountered.
o General earthwork recommendations for utility backfill, including anticipated
subgrade conditions and construction considerations, suitable on-site and imported
fill materials types, fill placement and compaction requirements, and general
earthwork considerations.
o Geotechnical parameters for the applicable layers, including unit weight, angle of internal
friction and cohesion, Young’s Modulus, and Poisson’s Ratio.
o Evaluation of hydrofracture inadvertent return (HFIR) potential.
o Geotechnical discussion regarding the feasibility of the HDD installation.
The geotechnical analysis will include a total of five 40-foot borings along both potential HDD
routes and five 10-foot borings along both potential open-cut paths. Borings will be sampled at

2.5-foot intervals to a depth of 15 feet, and at 5-foot intervals thereafter. Soil sampling will be
performed using split-barrel sampling procedures in accordance with standard penetration test
(SPT) standards. Borings planned in open-cut construction areas will be backfilled with auger
cuttings and bentonite chips upon completion. Borings along the proposed HDD route will be
abandoned with cement-bentonite grout.
Site Survey | We will self-perform or subcontract a Wisconsin-licensed surveyor to complete a
site survey of the new force main area to help develop a coordinate system for geospatial design
and locate underground utilities found during the GPR investigation. The survey will include the
following services:
o Provide two plats of survey (one for the raw sewage pump building and one for the
WWTP) according to Wisconsin Administrative Code, Chapter A-E 7. The plats will
include boundary survey and legal description.
o Review the initial Title Commitment, as provided, to address record easements or
servitudes and covenants within the subject boundaries with respect to the physical
location of land description therein. Additional fees may be required for further work due
to revisions to the Title Commitment or requests for review of non-easement items, such
as liens, mortgages, agreements, or leases.
o Provide permanent horizontal and vertical control. Points shown on the plat will be
referenced to the Wisconsin County Coordinate System, NAD ’83 (2011). Vertical control
will be referenced to the Local Vertical Datum (NAVD 88(12)).
o Collect site topography to create 1-foot contours, plus a 25-foot overlap of ground shots
of the adjoining property to drainage onto or off the subject properties. First-floor
elevations will be shot at the exterior of each building entrance on the subject property.
o Locate all major building corners, edges of adjacent streets, sidewalks, parking lots, curb
and gutters, drive entrances, and pavement.
o Locate storm drainage features and depth measurements, provided that the casting
covers can be removed.
o Locate trees and plantings. Wood lines or heavy brush lines will be shot as a tree line
and not each tree or bush.
o Locate above- and below-ground utilities locations. Below-ground utilities will be field-
surveyed based on Digger’s Hotline field marks. Manholes will be located, and depths will
be measured, provided that casting covers can be removed in the topographic area.

PROFESSIONAL SERVICES TERMS AND CONDITIONS OF AGREEMENT
These Terms and Conditions of Agreement form the Agreement under which services are to be performed
by Mead and Hunt, Inc. (hereinafter “Consultant”) upon acceptance of the attached Proposal by the Client.
The Scope of Work, Project Cost and Project Schedule sections of the attached Proposal are incorporated
by reference into these Terms and Conditions of Agreement and are part of the Agreement.
Article 1. Scope of Work
It is understood that the Scope of Work and the Project Schedule defined in the Proposal are based, in part,
on the information provided by the Client. If this information is incomplete or inaccurate, or if site conditions
are encountered which materially vary from those indicated by the Client, or if the Client directs Consultant
to change the original Scope of Work established by the Proposal, a written amendment to this Agreement
equitably adjusting the costs and/or performance time thereunder, shall be executed by the Client and
Consultant as soon as practicable in accordance with Article 30 below. In the event that the Client and
Consultant cannot agree upon the terms and conditions of such amendment, either party may terminate
this Agreement immediately upon written notice to the other in accordance with Article 10, Termination.
Consultant shall perform only the services specified in the Scope of Work portion of the Proposal or an
amendment thereto as referenced above. Services provided by Consultant shall be subject to the
provisions of this Agreement, including these Terms and Conditions of Agreement, any supplemental
conditions incorporated herein, and any written amendments as referenced above. Consultant shall invoice
its costs, and Client shall provide payment for all services provided in accordance with Article 2 below.
Article 2. Fees, Billing and Payment
Unless otherwise limited in the Proposa l, purchase order, or work order , Consultant's fee estimate is
effective for thirty (30) days from the date of the Proposal. Thereafter, Consultant shall have the right to
modify its fee estimate.
The fees stated in a Proposal, purchase order, or work order constitute an estimate of the tasks and fees
required to perform the Scope of Work. The Scope of Work often cannot be fully defined during the initial
planning stages of a project. As the Project progresses, facts uncovered may reveal a change in direction,
which may alter the Scope of Work. If Client requests modifications or changes in the Scope of Work
related to the Project, or if the during Project development the Scope of Work changes resulting in changes
to the estimated tasks and fees required to perform the Scope of Work, then the time of performance of the
services by Consultant and the fees associated therewith shall be revised and accepted in accordance with
Article 30 before Consultant undertakes any additional work beyond the originally defined Scope of Work.
The Client recognizes that Consultant’s fee estimate does not include potentially applicable sales and use
taxes. Tax-exempt certificates are to be provided by the Client in connection with the acceptance of the
Proposal or the applicable purchase order or work order. Taxes will be added to all invoices as applicable,
FORM CLIENT PSA-1 10-2023
CLIENT PSA-1 10-2023 Page 2 of 11
unless/until a properly completed and valid tax-exemption form is received.
The Client recognizes that time is of the essence with respect to payment of Consultant's invoices, and that
timely payment is a material part of the consideration of this Agreement.
Invoices will be submitted by Consultant monthly, and shall be due and payable within thirty (30) calendar
days of the invoice date. If the Client objects to all or any portion of an invoice, the Client shall so notify
Consultant within fourteen (14) calendar days of the invoice date, identify the cause of disagreement, and
pay when due that portion of the invoice, if any, not in dispute. In the event that Consultant and the Client
cannot resolve the dispute regarding invoiced amounts within thirty (30) days after receipt by Consultant of
the aforementioned notice, the dispute shall be submitted to dispute resolution pursuant to Article 12, below.
Payment shall be made via electronic means (EFT/ACH) directly to Consultant. A remittance advice or
payment notification to accountsreceivable@meadhunt.com is required. Where electronic means are not
available or not feasible, payment shall be mailed to:
Mead and Hunt, Inc.
Attn: Accounts Receivable, Mead & Hunt
2440 Deming Way
Middleton, WI 53562
The Client shall pay an additional charge of one -and-one-half (1.5) percent (or the maximum percentage
allowed by law, whichever is lower) of the invoiced amount per month for any payment received by
Consultant more than thirty (30) calendar days from the date of the invoice, excepting any portion of the
invoiced amount in dispute or resolved in favor of Client. Payment of invoices is in no case subject to
unilateral discounting or setoffs by the Client.
Application of the percentage rate indicated above as a consequence of the Client's late payments does
not constitute any willingness on Consultant's part to finance the Client's operation and no such willingness
should be inferred.
If the Client fails to pay undisputed invoiced amounts within thirty (30) calendar days of the date of the
invoice, Consultant may at any time, without waiving any other claim against the Client or the right to pursue
any other remedy against the Client and without thereby incurring any liability to the Client, suspend this
Agreement, as provided for in Article 9, Suspension, or terminate this Agreement, as provided for in Article
10, Termination.
Article 3. Confidentiality
Consultant and Client shall hold confidential all business or technical information marked as confidential or
proprietary obtained from the other or its affiliates under this Agreement for a period of five (5) years after
obtaining such information, and during that period shall not disclose such information without the other’s

with professional standards of conduct for preservation of the public safety, health and welfare; (3)
compliance with any law, regulation, ordinance, subpoena, court order or governmental request; or (4)
protection of the disclosing party against claims or liabilities arising from performance of services under this
Agreement. In the event disclosure may be required for any of the foregoing reasons, the disclosing party
will, except where immediate notification is required by law or regulation or is, in the judgement of the
receiving party’s counsel required to limit that party’s liability, notify the other party in advance of disclosure.
The confidential information does not include any data or information which the receiving party can prove
(a) was in the receiving party’s lawful possession prior to its disclosure by the disclosing party; (b) is later
lawfully obtained by the receiving party f rom a third party without notice to the receiving party of any
obligation of confidentiality or other restrictions with respect to use thereof; (c) is independently developed
by the receiving party; (d) is, or later becomes, available to the public through no breach of an obligation of
confidentiality by the receiving party; or (e) is approved for disclosure in writing by the disclosing party.
Notwithstanding anything to the contrary herein, one archive copy of confidential information or documents
containing confidential information may be retained by legal counsel of receiving party for the sole purpose
of identifying its obligations under this Agreement and any copy may be retained pursuant to any statute,
regulation, administrative opinion or any similar legal requirement or to evidence compliance with a
professional duty.
Article 4. Independent Contractor Relationship
The relationship between the Client and Consultant created under this Agreement is that of principal and
independent contractor. Consultant shall serve as an independent contractor to the Client and shall be
responsible for selecting the means and methods that services will be provided under this Agreement. It is
specifically understood that, irrespective of any assignability provisions, Consultant may retain
subcontractors to perform services usually and customarily performed by subcontractors. Should
Consultant determine it appropriate or necessary to rely on a subcontractor where it is not customary to do
so, Consultant shall obtain prior written approval or subsequent written confirmation from the Client.
Article 5. Standard of Care

practiced by consulting firms performing services of a similar nature in the same locale.
Article 6. Opinions on Cost

Consultant will put forth reasonable efforts to complete the work according to the schedule attached in the
Proposal.
If Consultant discerns that the schedule shall not be met for any reason, it shall so notify the Client as soon
as practically possible so that a mutually agreed on revised schedule can be established.

but not restricted to, an act of God or of a public enemy, civil unrest, fire, flood, area -wide strike, freight
embargo, unusually severe weather, governmental action, pandemic, epidemic or supplier delay. In the
event Consultant has knowledge of any actual or potential delay, Consultant shall notify Client in writing of

obligations hereunder shall be suspended.
Article 9. Suspension
Upon fourteen (14) calendar days written notice to Consultant, the Client may suspend Consultant's work.

Client, Consultant may, by fourteen (14) calendar days' written notice to the Client, suspend further work
until payment is restored to a current basis.
Suspension for any reason exceeding forty-five (45) calendar days shall, at Consultant's option, make this
Agreement subject to renegotiation or termination, as provided for elsewhere in this Agreement. Any
suspension shall extend the time schedule for performance in a manner that is satisfactory to both the
Client and Consultant, and Consultant shall be compensated for services performed and charges incurred
prior to the suspension date, regardless of the reason for the suspension.
Article 10. Termination
The Client or Consultant may terminate this Agreement with or without cause, and such termination shall
be effective upon fourteen (14) days’ written notice to the other party.
Either party may also terminate this Agreement upon written notice to the other party in the event that the
