Section 4:
Proposed Approach
von Briesen’s service approach is grounded in a philosophy of partnership and practical problem -
solving. We understand that municipalities operate in a complex environment where legal
questions can range from routine day -to-day issues to highly specialized litigation. Our goal is to
provide clear, timely, and effective legal guidance that supports informed decision -making,
protects the public interest, and advances the long-term success of the community.
von Briesen has decades of experience representing municipalities of all sizes across Wisconsin. We
routinely address a full spectrum of public sector legal matters, including governance and open
meetings, land use, zoning, labor and employment, development agreements, public safety issues,
ordinance enforcement, and complex litigation. This breadth enables us to respond efficiently to
more routine matters inquiries, while also providing sophisticated representation in high -stakes or
emerging legal matters.
We recognize the importance of fiscal stewardship and incorporate practical, modern approaches
to controlling legal spend:
• Technology-enabled efficiencies – We regularly use Zoom for meetings, hearings, and
staff consultations to eliminate travel time and reduce costs.
• Advanced legal research tools – We leverage the latest research technology , including
responsible use of AI -assisted tools , to produce faster, more efficient analysis while
maintaining quality, accuracy, and professional oversight.
• Right-sizing our involvement – We help municipal staff become smart consumers of legal
services by identifying when an issue requires attorney involvement and when it can be
handled internally. We always try to be transparent about the most cost-effective path.
• Proactive issue spotti ng – By staying closely connected to staff and monitoring
developing issues, we try to prevent problems from escalating.
von Briesen has a robust conflicts system in place. In the event a conflict of interest was to be
identified, we would promptly disclose it to the Town and discuss the appropriate manner in which
it would be rectified.

Section 5:
Fee Proposal
von Briesen is able to provide legal services for a blended and discounted hourly rate of $365.
Combined with our blended hourly rate of $365 a nd the depth of experience our team brings , we
are confident this approach provides the Town with high-quality, cost-effective legal services while
keeping the Town in full control of its budget.
Our services are billed in one -tenth of an hour increments. At times, we provide services, such as
board trainings, staff in -service, employee handbook reviews, and other projects, which may allow
for flat fee billing arrangements. For matters that qualify for a flat rate, the flat fee may be
negotiated by the Town based on the duration and attorneys involved in the project.
Expenses such as mileage, postage, freight, routine filing fees, and other miscellaneous expenses
identifiable to client matters will be billed monthly and listed on our invoices at actual incurred
cost. von Briesen represents that reimbursable charges will be charged at the firm’s actual incurred
cost without additional mark-up.
Specialty legal services such as environmental, real estate, construction, or bond financing fall
outside the discounted hourly rate, and would be discussed with the Town prior to any work being
performed on such specialty projects.
If litigation at either the administrative level or in court should arise, such matters could also fall
outside the discounted hourly rate. A detailed budget of the anticipated fees for the matter would
be prepared as well as the anticipated cost of litigation.
We are committed to maintaining competitive and predictable pricing for the Town. Any rate
adjustments after the initial year of service would be discussed with the Town in advance and
would be modest. We typically review our rates on an annual basis and in the month of January.

Re: Proposal for Town Attorney Services
Dear Chairman Johnson,
On behalf of West & Dunn, I am pleased to submit our proposal to serve as
municipal counsel for the Town of Spider Lake. Our firm offers the Town of Spider Lake
not only deep municipal expertise, but also a collaborative, responsive approach focused
on practical solutions and long-term value.
Our nearest office to the Town is located in Baraboo, Wisconsin, allowing us to
efficiently serve communities throughout the state, including the Town of Spider Lake.
We maintain a highly dedicated municipal practice group within our broader firm. In
2025, our municipal collections acc ounted for just under 10% of our firm’s total
collections, reflecting a balanced practice that brings comprehensive legal experience to
our municipal clients.
West & Dunn is a Wisconsin-based law firm with a dedicated municipal practice.
Led by Partner Benoit Letendre, our municipal law group has extensive experience
helping Towns like Spider Lake navigate the complexities of governance and local law.
We would propose that I serve as the primary contact for the Town . We understand the
values that matter to Wisconsin communities; stewardship, accessibility, and fiscal
responsibility. Our services are tailored with these principles in mind.
We offer proven strengths in several key areas:
Town of Spider Lake
Proposal for City Attorney Services
August 31, 2026
Page 2
● Board Advisory: Trusted legal counsel to Town boards and commissions,
supporting sound decision -making and ensuring compliance with applicable
laws.
● Ordinance Drafting: Creation of clear, enforceable ordinances that reflect the
Town’s priorities and protect community interests.
● Municipal Prosecutions: Effective representation in prosecuting ordinance
violations, delivered with efficiency and professionalism.
● Open Records and Meetings Compliance: Proactive strategies to reduce risk and
ensure compliance with transparency laws.
● Employment Law: We advise the Town on personnel matters, leveraging our
team's substantial employment law experience to assist with policy development,
employee relations, and regulatory compliance.
● Development & Land Use: We possess strong capabilities in negotiating and
drafting development agreements that promote responsible growth and protect
the Town’s interests.
● Litigation: We develop proactive strategies to minimize litigation risks and are
well-equipped to handle all sizes of litigation matters when needed.
As a firm that regularly represents small and mid-sized Wisconsin municipalities,
we recognize the unique challenges facing Towns like Spider Lake . Our experience
includes work with similarly sized communities across the state, and we are happy to
provide the references enclosed and may be able to produce more upon request.
If selected, your legal team will consist of a team of municipal attorneys, including
Benoit Letendre, Kathryn Navin, Nicole Marklein, Rebecca Bisone, Brendan Dailey, and
me. I am a 2023 graduate of the University of Wisconsin Law School. None of us have
been the subject of public or private reprimand from the Office of Lawyer Regulations,
nor has our malpractice insurance been used. Further, we do not anticipate any conflicts
of interest would be created by our representation of the Town . We conduct thorough
conflict checks to identify conflicts and would not accept representation where a conflict
with the Town would be created. If a conflict between the Town and another client of our
firm were to arise, we would withdraw from representing either client for that specific
matter.

We will divide responsibilities strategically to deliver high -quality, cost-effective
service. Matters will be staffed according to complexity, with associate -level attorneys
and paralegals handling appropriate tasks to control costs while ensuring partner -level
involvement on key issues. You can expect a response to all communications within 24
hours. Further our firm is fully equipped with the latest legal technology and support
systems and resources.
Our 2026 hourly rates for municipal matters are as follows:
● Partner-level attorneys: $250/hour
● Associate-level attorneys: $225/hour
● Paralegal/legal assistant support: $125/hour
These rates reflect our commitment to delivering exceptional legal services at
competitive and transparent prices. By using a team -based structure, we minimize
unnecessary costs while ensuring the Town receives the experience and insight needed
to address both day-to-day matters and more complex legal challenges, while managing
workload to ensure there are no delays in our service . Our rates would not vary by the
type of work we perform. Many municipalities prefer to pay set, regular (e.g., monthly)
fees, and we would be happy to work on that basis. Before offering pricing on that basis,
however, we need to better understand the Town ’s legal needs to determine what a fair
rate would be.
At West & Dunn, we have considerable experience representing and partnering
with small and mid-sized Wisconsin municipalities. We recognize that a community like
the Town of Spider Lake, with a subst antial seasonal resident base and tourists, faces
different issues than m any other similar Towns. Ou r firm has substant ial experience
representing municipalities where tourism is a k ey industry and where there is
substantial seasonal resident base. This experience means we are uniquely positioned to
offer a level of knowledge and experience that other municipal law firms simply may not
provide.
Enclosed for your review are our fee schedule and a list of representative client
references. Please note that West & Dunn currently serves as municipal counsel to more
than 20 Wisconsin municipalities; however, out of respect for client confidentiality, w e
have only included a few who have expressly consented to being listed as references.

I. EXPERIENCE AND FIRM QUALIFICATIONS
We are pleased to present this proposal to the Town of Spider Lake to provide for its
general legal services. Murphy Desmond was founded in 1931, and is proud of its long -standing
tradition, professional service and innovation. With over thirty practicing and emeritus attorneys
supported by an experienced staff of legal professionals, Murphy Desmond is a full -service law
firm that provides clients with high-quality legal services and advice. Murphy Desmond provides
timely and innovative solutions in the areas of municipal law, business law, collections, real estate
law, immigration law, construction law, labor and employment law, litigation, bankruptcy law, as
well as other practice areas. Because of the breadth and depth of our experience, we believe that
we are uniquely qualified to provide the legal services that the Town requires.
The core of the municipal law group, Mr. Morgan, Mr. Fleming, Mr. Braithwaite , Mr.
Windle and Ms. Jens, have combined, over 80 years of experience providing legal representation
to local units of government, throughout the State, as both general counsel as well as for litigation
or other special projects. During their careers, they have dealt extensively with all areas of local
governmental law. More specific details can be found below in our discussion of each attorney
and in their accompanying bios. In addition to their long history and depth of experience in all
areas of municipal law, our municipal law team also includes Attorney Matthew J. Frank, former
Secretary of the Wisconsin Department of Natural Resources and Assistant Attorney General who
provides substantial expertise in the areas of environmental and state administrative and regulatory
law, and Attorney Michael S. Windle, who has been serving as the City Attorney for City of
Richland Center.
Our experience is varied, and our range of our local governmental clients runs from being
the primary counsel for the City of Middleton, a growing, urbanized community on the west side
of Madison, to the Town of Brigham, a rural town in Iowa County, on the other. This breadth of
MURPHY DESMOND S.C. Page 3 August 31, 2026
experience will allow Murphy Desmond to readily perform all aspects of the Scope of Services to
be Provided listed in the Town’s RFP.
As a further illustration of our base of knowledge and experience, below is a list of cases
in which Murphy Desmond attorneys have represented either local governments or private parties
on local governmental matters in published Court of Appeals and Supreme Court cases. This list
does not include the numerous unpublished Court of Appeals opinions which do not create binding
legal precedent, or ongoing appeals in which our attorneys are involved.

and the Village of Monticello and the prosecutor for the Towns of Albion, Fulton and Lodi. In
addition to his work as a prosecutor, Mr. Morgan focuses his practice on employment, open

needed municipal legal services for a number of other communities as well as providing services
to Murphy Desmond’s other general clients as needed, particularly on employment-related matters.
MURPHY DESMOND S.C. Page 8 August 31, 2026
Finally, Mr. Morgan serves as the Firm’s chief ethics officer and has previously served on the
District 12 Board of Professional Responsibilities for the State Bar.
Ryan G. Braithwaite
Mr. Braithwaite’s legal practice focuses on municipal law, municipal litigation, and general
litigation in Wisconsin. He has over 20 years of experience representing municipalities in contract
disputes, defense of high-end property tax appeals, eminent domain, handling special assessments,
land use, zoning regulations, drafting municipal ordinances and contracts, and open
meetings/records.
Additionally, Mr. Braithwaite has significant litigation experience in matters such as
commercial disputes, contract disputes, product liability, insurance defense, trademark and
copyright, federal and appellate litigation, and personal injury cases, and h as argued before the
Wisconsin Court of Appeals and the 7th Circuit.
Katherine A. Jens
Ms. Katherine (Katie) Jens, a graduate of Florida State University College of Law, comes
to Murphy Desmond with an interest in planning and zoning, as well as environmental law. Her
attention to detail, research, and drafting capabilities have already proven to be instrumental to a
number of our firm’s municipal clients and we expect that she will continue to be a valuable
member of the municipal team in the years to come. She is currently providing back -up
prosecutorial services for the City of Edgerton and the Towns of Fulton and Albion on as needed
basis.
Michael S. Windle
Mr. Windle , prior to starting at Murphy Desmond has had significant experience
representing several municipalities in western Wisconsin, most notably serving as the City
Attorney for the City of Richland Center, a relationship which we are hopeful will continue. A
MURPHY DESMOND S.C. Page 9 August 31, 2026
2019 graduate from the University of Wisconsin, Madison law school, Mr. Windle is well vesed
in land use regulation and zoning issues, open meetings and public records law, contracts,
ordinance drafting and prosecution and other general municipal legal needs.
Support and Backup
Murphy Desmond is a full-service law firm and has ample support from a dedicated team
of legal assistants, paralegals, and IT personnel. As such, there will always be someone available
to provide any service the Town requires.
As far as attorney services are concerned, in the event Mr. Windle is unavailable, as
illustrated above, any of our municipal team would be available and each are eminently qualified
to provide day -to-day assistance. While each has in -depth experience in all areas of municipal
law, different firm attorneys have different strengths and will be relied upon from time to time to
ensure the Town continues to receive the best representation available for the issue at hand.
III. CONFLICTS OF INTEREST AND CLAIMS EXPERIENCE
We have reviewed our existing clients list, and we are unaware of any current conflicts of
interest, nor are we aware of any situations that appear to present any imminent potential for a
conflict of interest. We are however a relatively large firm and co nflicts do occasionally arise.
We run conflict checks whenever new files are opened or whenever it appears we may be required
to take an adverse position to anyone dealing with an existing client. We are bound by the rules of
professional responsibility in all instances, and those rules will sometimes require complete
withdrawal from representation of any part y. Whenever our firm is permitted to represent one
party or another in a conflict situation, we follow the rule that the first client in the door is the
client we will represent. Accordingly, once we begin representing the Town, circumstances where
we would be unable to represent the Town would be extremely rare. Any other client coming to
MURPHY DESMOND S.C. Page 10 August 31, 2026
the firm to deal with a matter that is adverse to the Town will be required to seek other counsel.
As part of our service to our clients, we do not bill for checking conflicts of interest.
As for our claims’ experience, we are proud to report that none of our current attorneys
have received any public or private reprimands from the Office of Lawyer Regulation. As for
malpractice claims, like most firms there have been claims filed at times over the years, but there
have not been any claims paid regarding any attorney currently affiliated with Murphy Desmond
and no claims involving anyone in the municipal law group.
The Town’s request for proposals seeks information regarding malpractice claims and
ethics complaints over the last 5 years. Our duty of confidentiality does not allow us to reveal any
details. Over the past 5 years, there have been seven matters that, pursuant to the terms and
definitions of our liability policy, we have reported to our liability insurance carrier. All of them
arise from actions attributable to attorneys that no longer work for Murphy Desmond. Three are
active and remain pending. Four have been closed or otherwise resolved. As for ethics complaints,
we understand those to mean complaints to the Office of Lawyer Regulation (“OLR”) by either
clients or opponents. Over the past 5 years, there have been 9 such complaints. All of them have
been closed by OLR without a hearing and without any discipline or other adverse action.
IV. PROPOSED BILLING ARRANGEMENT AND SCOPE OF SERVICES
Murphy Desmond proposes providing services at an hourly rate as follows:
Ryan G. Braithwaite $285
Matthew J. Fleming $285
Katherine A. Jens $205
William E. Morgan $285
Michael Windle $250
As we are a full-service firm, if there are services which the Town needs which are beyond
what would ordinarily be expected for a municipal client, we would enter into a separate agreement
as to those services which would then be billed in accordance with that agreement. Currently
MURPHY DESMOND S.C. Page 11 August 31, 2026
paralegals are infrequently relied upon in our municipal practice, but in the event they are used for
any project, their work will be billed at a rate not to exceed $150.00.
Murphy Desmond will provide a detailed monthly invoice for all services rendered. For
the purposes of billing, the Firm uses increments of a tenth of an hour and invoices are issued
monthly.
In the event any of our Firm’s other shareholders perform work under this Agreement, their
rate may vary depending on the attorney and particular expertise, but in no event will a rate be
billed which is higher than the highest rate quoted above without the Town’s prior consent. We
do not ordinarily bill for services of legal assistants, nor for office copying costs. Subpoena,
witness and service fees, court transcripts, outside copying costs and other necessary out of pocket
expenses, including mileage at the then-current IRS rate will be billed as incurred at cost.
