MINUTES – TOURISM COMMISSION
DATE: July 21, 2026
LOCATION: Verona City Hall – Large Conference Room
111 Lincoln St., Verona, Wis.
1) Chairperson Jason Hunt called the meeting to order at 2:01 p.m.
2) Roll call – present were: Commissioners Jason Hunt, Ralph Stern, Charlie Eggen, and
Alderperson Chris Weiss (virtual). Commissioner Sara Hoechst were excused. Also
present were Mr. Ryan Lay – Principal, Baker Tilly, Alder Beth Tucker Long, Verona
Area Chamber of Commerce Director Le Jordan, Tourism Coordinator Anna Follmann,
Finance Director Brian Lamers, and City Administrator Jamie Aulik.
3) There was no public comment.
4) Weiss moved, Egan seconded, to approve the minutes of the March 17, 2026, Tourism
Commission meeting. The motion passed unanimously.
5) 2026 First Quarter Room Tax Report:
a) Mr. Lamers explained the 2026 first quarter room tax report and answered questions
from the Commission. Year over year, room tax revenue is up.
6) Independent Accountant's Report on the Room Tax Agreement:
a) Mr. Ryan Lay of Baker Tilly presented the independent accountant’s report regarding
the room tax agreement between the City of Verona and the Verona Area Chamber
of Commerce. He summarized the firm's findings, noting several deficiencies,
including:
i) Insufficient supporting documentation for invoices;
ii) Inconsistencies in the invoice approval process;
iii) The absence of a formal cost allocation policy; and
iv) Other inconsistencies related to account reconciliations.
b) Commission members discussed the report and its findings. Eggen commented that
the report provides a roadmap to improve and strengthen the Chamber’s internal
processes.
c) Stern requested additional information regarding the differences identified in
Attachment D of the report. Specifically, he questioned why certain statement
balances did not reconcile with Baker Tilly’s month-end account calculations and
related bank statement reconciliations.
d) Hunt commented that the issues identified in the report appeared to be systemic in
nature rather than the fault of any individual employee.
e) During the discussion, it was noted that the Chamber utilized a single account to
3
receive and disburse tourism-related funds.
f) Stern reiterated his concerns regarding the discrepancies identified in Attachment D
and requested a more detailed explanation of the differences. The Commission agreed
to revisit the matter at its next meeting after receiving additional information.
g) The Commission also discussed the Chamber’s scholarship approval process.
Members requested that future scholarship requests include additional background
information and a narrative describing each application and the basis for approval.
Members also requested that the Commission be informed of the reasons whenever a
scholarship application is denied.
h) The Commission discussed the Chamber's bookkeeping practices, including the need
to enter invoices into QuickBooks and the need for improved financial controls.
i) Hunt stated that he wanted the Commission to formally request that the Verona Area
Chamber of Commerce address the deficiencies identified in the audit. He
emphasized the importance of implementing the recommended procedures,
improving documentation practices, demonstrating measurable progress, and
developing a formal cost allocation policy.
j) The Commission also discussed having Nick from Nonprofits for Numbers attend
the next Commission meeting to assist with addressing the audit findings, reconciling
account discrepancies, and implementing recommended corrective actions.
k) Hunt moved, Egan seconded, to direct the Verona Area Chamber of Commerce to
implement corrective actions to address the deficiencies identified in the independent
accountant's report. The motion passed unanimously.
l) Hunt moved, Egan seconded, to require that the quarterly reports required under
Appendix (Exhibit A) of the Room Tax Agreement be provided to the Commission in
advance of each meeting. The motion also directed that the reports include additional
detail explaining the basis for approved scholarships and sponsorships. The motion
passed unanimously.
m) Weiss also expressed concern regarding duplicate invoices identified during the audit
and emphasized the importance of ensuring that invoices are not paid more than
once. The Commission discussed working with Nonprofits for Numbers to reconcile
monthly account activity and resolve outstanding discrepancies.
7) Eggen moved, Stern seconded adjournment. The motion passed unanimously, and the
meeting adjourned at 4:14 p.m.

Verona Area Chamber of Commerce
Tourism Allocation Policy
Purpose. The Verona Area Chamber of Commerce administers tourism marketing and visitor services for the
City of Verona. This policy explains how tourism expenses are charged when a cost is either directly related to
tourism or shared between tourism and Chamber operations.
Direct tourism expenses. Expenses that are clearly for tourism are charged 100% to the appropriate tourism
budget line. Examples include the Tourism Coordinator compensation, tourism advertising and marketing,
visitor materials, website expenses, tourism sponsorships, and other purchases made specifically for Visit
Verona or the City tourism program.
Shared facility and operating costs. The Chamber also uses staff, office space, equipment and administrative
services that support both Chamber operations and the tourism program. A portion of these shared costs is
used to support the annual tourism contract amount approved in the tourism budget.
The Chamber currently uses a 20% allocation of eligible shared operating expenses as a reasonable
estimate of the resources used to support tourism. The 20% is not a percentage of the tourism budget. It is an
allocation applied to eligible shared Chamber costs when determining support for the tourism contract amount.
The shared-cost pool may include, as applicable:
• Mortgage or facility costs for the Chamber-occupied portion of the building
• Insurance, utilities, snow removal, lawn care, seasonal clean-up, repairs and maintenance
• Cleaning and cleaning supplies
• Office supplies
• Printers, copier, telephone system and computer backup
• Software and technology support, including outside IT assistance
• Accounting services
• PEO/personnel administration expenses
• Compensation and related employment costs for Chamber staff who perform tourism-related work,
excluding the Tourism Coordinator whose compensation is a direct tourism expense
Basis for the 20% allocation
The allocation is based on the way the building and staff are actually used. The Chamber occupies
approximately 2,637 square feet of the building, excluding space rented to a separate tenant. Tourism use is not
limited to the Tourism Coordinator's approximately 10 x 10 office.
Tourism also uses or benefits from shared areas and resources, including the reception/Visitors Center area
with brochure racks and maps, the part-time staff workstations, waiting area, conference room, Executive
Director office, work room, community-event storage area, restrooms, kitchen, office equipment, telephone
and computer systems, software and administrative support. Approximately 90% of walk-in traffic is tourism-
related, primarily visitors looking for maps, brochures and local information.
Staff time is another part of the allocation. The Executive Director manages the City tourism contract,
supervises the Tourism Coordinator, approves tourism purchases, reviews invoices, records and pays tourism
bills, reconciles the account and handles budget and reporting responsibilities. The Office Manager,
38
Communications Director, community event staff, sponsorship staff and office cleaner also support tourism or
community events to varying degrees. Community events covered by this allocation are public/community
events and are not Chamber member-only programs.
Because tourism uses shared space and shared staff throughout the office, square footage alone is not
used as the allocation method. Square footage is considered as one factor, together with visitor traffic,
shared-area use, staff responsibilities and the administrative resources needed to carry out the tourism
contract.
Annual contract amount and review
The current tourism budget includes an annual contract amount of $55,000, paid by the City in four equal
quarterly payments of $13,750. The annual 20% shared-cost calculation is maintained as support for the
reasonableness of that amount. The approved contract amount is separate from direct tourism expenses such
as the Tourism Coordinator compensation and direct marketing costs.
The allocation calculation will be reviewed as part of the annual tourism budgeting process. If there is a
material change in staffing, building use, visitor services, or the services provided under the City tourism
contract, the Chamber will review whether the 20% allocation continues to be reasonable.
The Chamber's accountant reviews the financial records monthly, including reconciliation of the tourism
account and budget status. The accountant's review is financial and accounting in nature; the Chamber and
Tourism Commission remain responsible for determining whether the underlying expenditures are appropriate
for tourism purposes.
Recordkeeping. The Chamber will retain the annual allocation worksheet and supporting expense information
with the tourism budget records so the basis for the allocation can be reviewed if needed.

Verona Area Chamber of Commerce - Tourism Procedures
Verona Area Chamber of Commerce
Tourism Expenditure and Sponsorship Approval Procedures
Effective date: Upon approval
These procedures are intended to document how tourism funds are approved, paid and reported by the Verona
Area Chamber of Commerce under its tourism contract with the City of Verona. They are designed for the
Chamber’s current staffing structure and are meant to provide a clear written record of who requested an
expenditure, who approved it, how it was paid and how it was reported.
Regular tourism purchases
1. Purchase request. The Tourism Coordinator determines that an item or service is appropriate for promoting
Verona and fits within the tourism budget approved by the Tourism Commission.
2. Approval before purchase. Before the purchase is made or a service is committed to, the Tourism
Coordinator gives the request to the Executive Director for review. The Executive Director may approve it,
decline it or approve it with changes.
3. Written record. The approval is documented on the request form or supporting paperwork. The record will
include the date, Tourism Coordinator as purchaser/requestor, Executive Director approval, tourism budget
category, project or purpose, vendor/payee when known, estimated amount when known and how the payment
is expected to be made.
4. Changes to an approved request. If the vendor, scope or amount changes significantly after approval, the
Tourism Coordinator will obtain updated approval from the Executive Director and keep it with the original
request.
5. Budget. Purchases must stay within the Tourism Commission-approved budget. If a purchase would require
a budget change or would exceed an approved category, the applicable Commission approval will be obtained
before the expenditure is made.
Invoices and payment
When an invoice is received, the Tourism Coordinator gives the invoice and any supporting documentation to
the Office Manager. The Office Manager records the invoice on the tourism bills Excel spreadsheet and keeps
the paperwork together for payment.
When bills are ready to be paid, the Office Manager gives the invoice and supporting documentation to the
Executive Director. The Executive Director compares the invoice to the original approval, confirms the amount
and budget category, records the transaction in QuickBooks and documents final approval on the invoice by
signature, initials or an approved stamp with the date.
After approval, the check is printed and mailed or the approved payment method is completed. For checks, the
invoice or receipt and related documentation are stapled to the corresponding check stub and kept as part of the
payment record. If an invoice or receipt is not available, the reason and any substitute documentation will be
kept with the payment record.
Any voided or reissued checks, refunds or credits will be documented and tied back to the original transaction.
Monthly accounting review and reporting
At the beginning of each month, the Chamber’s contracted accountant closes the books for the previous month
and reviews the Executive Director’s bank reconciliation, accounting records and current budget position. This is
an accounting and financial review. The accountant is not expected to decide whether a purchase is an
appropriate tourism expense; that determination is made through the approval process described above and is
also subject to Board and Tourism Commission review through regular reporting.
All tourism expenditures from the prior month are reported to the Chamber Board of Directors at its next regular
meeting. Tourism expenditures are also reported to the Tourism Commission at least quarterly. The reports will
include enough information to identify the budget category and the project or purpose of the expenditure.
Tourism sponsorships
Tourism sponsorships are handled separately from regular tourism purchases. These funds are used to support
sporting events and other events that bring visitors to Verona and provide Visit Verona with promotional value or
other return on investment. Applications are reviewed by a three-member committee of the Chamber Board.
41
Verona Area Chamber of Commerce - Tourism Procedures
1. Application. The Tourism Coordinator receives the application and puts together the information needed by
the committee, including the current request, event information, expected tourism benefit or return on
investment and prior sponsorship history when available.
2. Committee review. The Tourism Coordinator sends the application and supporting information to the three
committee members by email. The committee may also meet in person if discussion is needed.
3. Decision. The committee may approve the request, decline it or approve a different level of support. The
decision must be documented. Email votes are acceptable and will be retained as part of the official record.
4. File documentation. The Tourism Coordinator will keep the application, the information sent to the
committee, relevant questions or discussion, each committee member’s vote and the final decision together in
the sponsorship file.
5. Applicant notice. The Tourism Coordinator notifies the applicant of the decision. Approved applicants
receive the sponsorship requirements, Visit Verona recognition/benefit expectations, payment information and
post-event reporting requirements. If an application is declined, the reason will be documented.
6. Payment. For an approved sponsorship, the Tourism Coordinator prepares the approval sheet showing the
payee, approved amount, project and payment date. The Office Manager adds it to the tourism bills
spreadsheet. The payment then follows the same invoice/payment process described above, with the
sponsorship approval record serving as the written authorization.
7. Reporting. Approved and declined sponsorship applications, including the reason for a decline when
applicable, are reported to the Chamber Board at its next regular meeting and to the Tourism Commission at its
next meeting.
Other controls
• The Tourism Coordinator normally initiates tourism purchases. If the Executive Director initiates a tourism
expenditure or would be the direct beneficiary of an expenditure, the Executive Director will not approve it.
Approval must instead come from the Chamber President or another designated member of the Executive
Committee.
• Email approvals and email votes are considered written documentation as long as they are retained with the
related purchase or sponsorship record.
• Potential conflicts of interest involving a vendor, sponsorship applicant, committee member or approver will
be disclosed and handled under the Chamber’s conflict-of-interest policy.
• Records may be kept on paper, electronically or in a combination of both, as long as the full approval and
payment history can be readily located. Records will be retained according to Chamber practices and any
requirements of the City tourism contract or applicable law.
Review of procedures
These procedures will be reviewed as needed when there are changes in staffing, accounting practices, the
tourism contract, the approved tourism budget, Tourism Commission requirements or audit recommendations.
