To the General Government & Finance Committee, After reviewing the 2025 audit, my biggest concern is that these problems do not appear to be a one-time issue. The 2023, 2024, and now 2025 audits have repeatedly identified weaknesses in the Village’s financial controls and material errors that had to be corrected during the audit process. The 2025 audit again identifies material weaknesses involving segregation of duties and the financial statement close process. Baker Tilly also warns that weaknesses in these controls can allow errors, irregularities, or fraud to occur without being detected in a timely manner. While several individual issues from prior years have been corrected, the broader concerns remain. I recognize that there have been changes in both Village staff and the Committee, and I see this as an opportunity to address a longstanding problem rather than assign blame for how we got here. A clean audit opinion is important, but an annual audit cannot be expected to catch everything. The Village needs strong enough controls that the Board and residents can have confidence in the financial information being produced throughout the year. I hope the Committee will discuss: 1. What changes are already underway to address these material weaknesses? 2. What additional steps are needed so we do not see the same findings in the 2026 audit? 3. Who will be responsible for tracking this work, and how will the Committee know when the issues have been resolved? 4. Are there additional controls or reviews that can reduce the risk of errors or fraud in the meantime? 5. Does Baker Tilly recommend any additional review of prior-year transactions or higher- risk areas given the repeated findings? I appreciate the Committee taking these findings seriously. My hope is that this audit can be DRAFT Page 6 of 163 used as an opportunity to put stronger financial controls in place and provide better confidence in the Village’s financial reporting going forward. Thank you for your consideration. Brian Sparrow DRAFT Page 7 of 163 BUSINESS OF THE GENERAL GOVERNMENT & FINANCE COMMITTEE MEETING DATE: September 21, 2026 PLACEMENT: Action Item ITEM TITLE: EDWC - MGS Healthcare Project Incentive Proposal (ACTION) SUBMITTED BY: Matt Trebatoski, Village Administrator SUMMARY EXPLANATION: Please find attached a memo prepared by Christian Tscheschlok, CEO of EDWC for an incentive proposal for MGS Healthcare in Germantown. Also included is a presentation on MGS Healthcare. Sarah Stern with EDWC will be on hand to present the project proposal and to answer any questions. MGS representatives will also be in attendance to present the company slides and answer questions. ATTACHMENT: 1. EDWC_MGS-ProjectPackage_VoG-GGF_2026-09-21 STAFF RECOMMENDATION: Move to endorse the non-binding MGS Healthcare incentive proposal substantially consistent with the terms presented; authorize Village Administration and EDWC to jointly issue the proposal to MGS Mfg. Group, Inc.; and authorize continued negotiation of final documentation for future consideration by the Village Board. ACTION BY COMMITTEE: Page 8 of 163 Decision Memo MGS Healthcare Incentive Proposal Village of Germantown Board | October 5, 2026 Prepared by Christian Tscheschlok, CEO ACTION REQUESTED Endorse the attached non-binding MGS incentive proposal and authorize Village Administration and EDWC to jointly issue it and continue negotiating the final structure. Any binding Village obligation returns to the Board through final agreements. THE SIMPLE CASE Support a proven local employer’s production expansion to create momentum for further investment in Germantown. A defined $750,000 TID-supported principal commitment is tied to performance and adds approximately one year to modeled TID cost recovery under both expense cases. Why this is before the Board now Customer demand is driving MGS’s tight investment timetable. MGS has indicated that support for its current expansion creates momentum and an operational advantage for grounding future investment in Germantown. October 5 endorsement allows the Village to respond while that opportunity is active. General Government & Finance Committee review precedes Board consideration; this memo requests the Board’s endorsement of the proposal framework. The decision is whether to endorse a non-binding incentive proposal and authorize Village Administration and EDWC to jointly issue it and continue underwriting and negotiation. Binding Village obligations would return to the Board in final agreements. What approval does - and does not - do Approval on October 5 WOULD  Authorize joint issuance of the proposal letter;  Signal support for MGS’s continued Germantown investment;  Advance underwriting and negotiation on the proposed terms;  Establish a framework for $750,000 of TID-supported principal; and  Preserve a return to the Board for final agreements. Approval on October 5 WOULD NOT  Execute a binding Village incentive commitment;  Waive underwriting, committee review, or legal review;  Guarantee forgiveness without required performance;  Credit existing land or buildings toward the scorecard; or  Guarantee future investment or establish a TID closure date. Page 9 of 163 Public project summary Company MGS Mfg. Group, Inc. and its subsidiaries, operating as MGS Healthcare: a global healthcare manufacturer with deep roots in Washington County. Location Approximately 140,000 additional square feet in the existing 294,614-square-foot Capstone 41 Building #2 in Germantown. Full operations are targeted by March 2028. Public purpose Accelerate advanced healthcare manufacturing, retain skilled employment, add jobs and payroll, and strengthen Germantown’s position for further medical-device and pharmaceutical investment. Business objective Accelerate production deployment and maximize customer project opportunity. MGS identifies local support as creating momentum and operational advantage for future Germantown investment. Village role Support debt service on the $750,000 performance-based component through TID #7. The County Impact Loan Fund supplies the $2.5 million upfront capital; MGS repays the separate $1.75 million company portion. Impact at a glance The figures below separate the 162 existing jobs from 82 new jobs and distinguish MGS equipment from OEM customer equipment. The TID comparison measures the added cost of the incentive, holding the Capstone buildings’ revenue in both cases. 244 Total direct jobs 162 existing plus 82 new 82 Net new jobs three-year target $5.79M Annual payroll growth new jobs and existing wage growth $29.25M Equipment target MGS plus OEM customer equipment $9.25M MGS equipment company investment ~$20M OEM equipment separate component of target About 1 year Added recovery time both modeled expense cases $962.8K TID debt service 26 semiannual payments Page 10 of 163 The MGS and TID #7 decision The Capstone buildings are already constructed, and MGS has secured its expansion lease. The public purpose is to accelerate production deployment, help MGS maximize customer project opportunity, and strengthen Germantown’s position for near-term future investment. 1 Existing facility and lease 2 Accelerate production deployment 3 Retain 162 and add 82 jobs 4 Deploy $29.25M equipment 5 Strengthen future investment advantage What the additional TID commitment changes The proposed $750,000 TID-supported principal is an additional TID #7 commitment. The Village would support approximately $962,801 of principal and interest, while MGS repays its separate $1.75 million company note. Both TID cases retain the same Capstone building values and revenues; no existing building value is credited to the incentive. Using the Village’s 2025 TID #7 Annual Report future-cost total, EDWC estimates cost recovery in August 2031 without the incentive and August 2032 with it: about one additional year. The higher-cost April 2024 Project Plan Amendment prepared by Ehlers produces March 2038 and March 2039 estimates, also about one year apart. The table below makes that range of assumptions explicit. Expense scenario Estimated recovery without / with MGS incentive 2025 Annual Report total: $5.02 million August 2031 / August 2032 — about one additional year. Future costs are distributed using the 2024 Project Plan’s spending pattern. 2024 Project Plan: $11.20 million March 2038 / March 2039 — about one additional year. The higher-cost case also requires interim funding. What recovery means Accumulated funds cover remaining modeled costs. Dates are interpolated from annual balances, not official closure forecasts. Before final agreements Confirm remaining costs and final collection/payment timing. Page 11 of 163 Proposed incentive structure - summary Upfront capital $2,500,000 through the Washington County Impact Loan Fund, subject to fund availability, application, underwriting, committee approval, and final documentation. Performance-based forgiveness Up to $750,000 after three years. Retaining the 162-job baseline is a minimum condition. The scorecard targets 82 net new jobs, $29.25 million of equipment, and $5,794,880 of annual payroll growth. MGS and OEM equipment remain separate components of the combined target. Village / TID participation 26 semiannual payments of $37,030.80 from March 1, 2027, through September 1, 2039, totaling $962,800.80 at 4.0%. Final timing must align with district termination and approved agreements. MGS repayment $1,750,000 at 4.0% fixed, fully amortized over seven years at approximately $23,920.41 monthly. Any unforgiven balance is added to the company note and amortized over its remaining term, with payments recalculated. Final documentation Development agreement, intergovernmental agreement, loan documents, performance requirements, and negotiated credit protections. Typical requirements include personal guaranties from individual owners of 20% or more. POLICY FRAME The question is how a defined, performance-based partnership can deepen MGS’s Germantown investment and broaden the future tax base, generating added village revenue and reducing taxpayer burden as a result. The Board weighs that opportunity against earlier access to TID revenue, while retaining authority over every binding commitment. Why the proposal is justified  Support a proven local partner. MGS’s sustained community involvement, apprenticeships, and technical education partnerships show a commitment that extends beyond its facilities.  Build on current momentum. MGS has indicated that supporting this project improves the operational advantage for grounding future investment in Germantown. Customer demand makes timely consideration valuable.  Tie support to measurable results. Forgiveness requires retention of the 162-job baseline and a three-year scorecard targeting 82 net new jobs, $29.25 million of equipment, and $5.79 million in annual payroll growth.  Make a measured fiscal choice. Approximately one additional year of modeled recovery time is the trade-off for this defined investment in a growing local employer that has contributed in big ways to the community and its public and non-profit needs.  Strengthen the future tax base. Further MGS investment and related MedTech activity could spread Village service costs across more taxable property. Building on an established manufacturing location offers an opportunity for growth without a comparable expansion in service demand, with actual demands evaluated as projects develop. Page 12 of 163 Development and deal structuring process Endorsement gives EDWC and Village Administration a basis to issue the proposal and advance the financing process within MGS’s customer-driven timetable. The Board retains final approval over the development agreement and related Village obligations. Future MGS investment remains a strategic opportunity, not an additional performance promise in this proposal. 1 Project Development Customer demand and production planning 2 Committee Review GGF preliminary consideration 3 Board Endorsement October 5 non-binding proposal 4 Underwriting and Negotiation EDWC, Village, County, and legal 5 Final Board Approval Agreements return for action The choice before the Board If the Board endorses the proposal  Germantown supports a proven employer’s current momentum.  The defined TID commitment is linked to jobs, investment, and payroll performance.  The modeled trade-off is about one additional year to cost recovery.  Final underwriting and Board approval remain in place. If the Board delays or declines  TID capacity remains available for existing obligations and a larger recovery cushion.  The current project may still proceed.  Germantown misses an opportunity to strengthen its advantage for future MGS and related investment.  Passes on deepening an established local partnership. RECOMMENDATION Endorse the proposal and authorize joint issuance and continued negotiation. MGS’s track record, customer-driven timing, and stated opportunity for further Germantown investment justify advancing this defined, performance-based partnership. Reconcile district costs and payment timing before final agreements return. Page 13 of 163 Suggested public motion MOTION Move to endorse the non-binding MGS Healthcare incentive proposal substantially consistent with the terms presented; authorize Village Administration and EDWC to jointly issue the proposal to MGS Mfg. Group, Inc.; and authorize continued negotiation of final documentation for future consideration by the Village Board. Appendix A - Q&A Question / Concern Direct Answer Isn’t the current project happening anyway? It may proceed with or without the incentive. MGS has indicated that support creates momentum and an operational advantage for grounding future investment in Germantown. The case is to accelerate deployment, maximize customer project opportunity, and deepen local investment. Why support a large company that can afford to invest? Ability to invest does not determine where future investment will go. The Village is considering a defined partnership to improve Germantown’s position for that investment. MGS’s local record strengthens the case, while measurable performance and final approvals establish accountability. Shouldn’t the TID close sooner to help Village finances? Earlier access to revenue is a legitimate priority. The Annual Report cost scenario estimates August 2031 recovery without the incentive and August 2032 with it. The Ehlers Project Plan cost projections estimate March 2038 and March 2039. Both show about one additional year. The Board is weighing that time against the opportunity to deepen MGS’s investment and expand the future tax base far beyond the life of TID 7. Where does this stop? Can taxpayers afford these subsidies? This proposal supports $750,000 of principal, with total TID payments estimated at $962,801. It creates no automatic entitlement for MGS or another applicant. Each proposal must justify its public return and pass underwriting and Board review. The net fiscal impact is positive and real per our impact analysis; the recommendation is that this specific opportunity warrants it. Are we paying for an already constructed building? No land or building amount is included in the equipment performance target. The proposal identifies existing land and facility use as project scope, not new MGS construction. The TID comparison includes the same Capstone building revenue with and without the incentive. Is potential OEM customer equipment being counted as MGS investment? It is identified separately: $9.25 million of MGS equipment and approximately $20 million of OEM customer equipment. Together they form the $29.25 million equipment target supporting the proposed incentive. Final verification and negotiated terms will address the two components distinctly. Page 14 of 163 Question / Concern Direct Answer How does this help fiscal needs outside the TID? Further MGS and related MedTech investment could broaden the tax base and spread service costs across more taxable property. That is a future growth opportunity, not an immediate budget cure. The current impact report models a $627,147 Village net cost outside TID #7 over 14 years, alongside $1,184,036 of TID net benefits after incentive support. The recommendation rests on the wider investment opportunity as well as the current project. What has MGS contributed to the community? MGS reports more than $20,000 in local sponsorships supporting education, youth development, recreation, and workforce programs in 2026. Its record includes tool-and-die and youth apprenticeships, machinery donated to Germantown High School, educational advisory roles, employee giving, and volunteer service. This is an established relationship on which the Village can build. What protects taxpayers if MGS does not perform? Retention of the 162-job baseline is a minimum condition for forgiveness. A three-year scorecard measures net new jobs, equipment, and payroll growth. Any unforgiven balance is added to the repayable company note. Underwriting, committee review, credit protections, legal documentation, and final Board approval remain required. The company repays its separate $1.75 million note. Using the 2025 Annual Report cost total, estimated recovery with MGS is August 2032. This is an extrapolation from the 2025 Annual Report. Ehlers 2024 Project Plan estimated higher costs than the 2025 Annual Report filed to the WI DOR shows. Group, Inc. Mr. Shawn Smet, Financial Director – Engineering & Assistant Controller W188 N11707 Maple Road Germantown, WI 53022 Dear Mr. Smet: On behalf of the Washington County Economic Development Corporation (EDWC) and the Village of Germantown, we are pleased to submit this $2,500,000 incentive proposal to support MGS Healthcare’s production expansion at Capstone 41 Business Park. The package is designed to accelerate production deployment, help MGS maximize customer project opportunity, and encourage the acceleration and location of other near-term planned investment in Germantown. MGS has built a global healthcare manufacturing business with deep roots in Washington County. Its integrated capabilities in tooling, molding, automation, and contract manufacturing help healthcare innovators bring important products to market. Your continued investment in advanced manufacturing, skilled employment, apprenticeships, and community organizations makes MGS a valued partner in Germantown’s future. Together, the Village and County propose upfront capital combining low-interest financing with performance-based forgiveness. This structure supports the equipment deployment and production ramp for the R13 program while preserving capital for MGS’s continued growth. The expansion will strengthen Germantown’s growing concentration of healthcare, medical-device, and pharmaceutical businesses. Supporting MGS’s ability to win and deploy additional customer programs also creates an opportunity to attract related investment and deepen the community’s advanced-manufacturing base. To support this expansion and move MGS into the formal incentive process, EDWC and the Village jointly propose the following general framework. PLAIN-ENGLISH INCENTIVE OVERVIEW MGS receives $2,500,000 of upfront project capital at closing. If the required retention condition and performance benchmarks are achieved, MGS repays principal and interest on the $1,750,000 company portion, and Germantown TID #7 pays principal and interest to Washington County on MGS’s behalf on the $750,000 performance-based portion. In practical terms: capital is delivered upfront, MGS receives low-interest financing, and earned forgiveness converts part of the package into a grant-like benefit. COMPANY-FACING INCENTIVE SUMMARY Component Company-Facing Value Plain-English Description Forgivable portion paid by Germantown TID #7 on MGS’s behalf $962,801 (est.) $750,000 principal plus approximately $212,801 of interest paid over time through TID #7 if performance is achieved Repayable Washington County Impact Loan Fund financing retained by MGS $1,750,000 4.0% fixed financing, fully amortized over seven years with monthly principal and interest payments Total Company-Facing Incentive Value $2,712,801 (est.) Combined financing and estimated TID- paid principal and interest benefit; includes the $1,750,000 repayable company financing Page 31 of 163 Note: For public-partner funding and documentation purposes, the package reflects approximately $3,462,801 in combined commitments: $2,500,000 disbursed upfront through the Washington County Impact Loan Fund and approximately $962,801 in TID #7 debt service support over time. The TID payments repay part of the County financing; they are not additional cash disbursed to MGS. CORE PROJECT ASSUMPTIONS PROJECT DESCRIPTION MGS plans to deploy the R13 integrated production line at Capstone 41 Business Park in Germantown to manufacture components for drug delivery, diagnostic consumables, & MedTech disposables. The project supports: 1 - Faster deployment of advanced healthcare manufacturing capacity 2 - Additional customer work and skilled employment growth 3 - Continued investment in Germantown as part of MGS’s global manufacturing network NEW INVESTMENT Facility • Lease approximately 140,000 additional SF in the existing 294,614 SF Capstone 41 Building #2 • Expand alongside MGS’s existing production operation • Begin tool validation and automation integration in late summer or fall 2026, with full operations targeted by March 2028 • Real estate is excluded from the incentive scorecard MGS Equipment Investment $9,250,000 in MGS production equipment, furniture, office equipment, and IT OEM Customer Equipment Investment Approximately $20,000,000 in OEM customer equipment deployed for the project; separately identified and included in the total equipment performance target Total Project Scope Approximately $41,903,297 in the proforma: $1,310,658 allocated to land use, $11,342,639 in incremental facility use already constructed, and $29,250,000 in equipment. Real estate amounts provide project context and are not represented as MGS-owned assets. Performance Capital Investment Target $29,250,000 total equipment investment: $9,250,000 MGS investment plus $20,000,000 OEM customer investment. Land and building costs are excluded. EMPLOYMENT AND PAYROLL Jobs Retain the baseline of 162 full-time jobs and create 82 net new full-time jobs, targeting 244 total positions by the end of Year 3. The projection anticipates 47 new jobs in Year 1 and 35 in Year 2. Retention of the baseline is a minimum condition for forgiveness. Payroll • Annual payroll growth target: $5,794,880, comprising $5,457,920 from new jobs and $336,960 in wage growth for existing jobs • Projected mean new-job hourly wage: $32.00 • Payroll growth is a scored performance measure Page 32 of 163 HOW THE STRUCTURE WORKS Item Proposed Structure Upfront Funding Washington County Impact Loan Fund disburses $2,500,000 to MGS Mfg. Group, Inc., subject to fund availability, application, underwriting, committee approval, and final documentation. Two-Part Package The upfront funding is expected to be documented as a $750,000 performance-based forgivable component and a $1,750,000 repayable company component. Forgivable Component Scheduled debt service on the $750,000 component is expected to be supported through Germantown TID #7. Earned forgiveness is determined after three years, subject to the retention condition. Any unforgiven balance is added to the company note and amortized at 4.0% over its remaining term. Repayable Component MGS repays $1,750,000 at 4.0% fixed interest over seven years, with monthly principal and interest payments estimated at $23,920.41. The illustrative schedule assumes funding November 1, 2026, and payments from December 1, 2026, through November 1, 2033. Payments increase if an unforgiven balance is added. TID #7 Debt Service Support At 4.0%, TID #7 is projected to make 26 semiannual payments of $37,030.80 from March 1, 2027, through September 1, 2039: $74,061.60 annually and $962,800.80 in total. The schedule assumes November 1, 2026, funding; final dates and amounts will reflect closing and approved documentation. Development / Loan Documents A development agreement with the Village, an intergovernmental agreement between Washington County and the Village, and loan documents with the final approved MGS borrowing entity will implement the structure and coordinate TID support with earned forgiveness and any balance transferred to the company note. HOW FORGIVENESS IS EARNED Forgiveness will be determined at the end of a three-year performance period using EDWC’s standard performance-measurement methodology, adapted for loan forgiveness and aligned with the MGS County Incentive worksheet. The calculation applies to the $750,000 original principal assigned to the forgivable component. Retaining the baseline of 162 existing full-time jobs is a minimum condition for any forgiveness; retention is not a separately weighted scorecard measure. Performance Basis Target Performance Factor Use in Forgiveness Calculation Net New Jobs 82 by end of Year 3 80% Compare ending employment with the 162-job baseline; target 244 total positions Total Equipment Investment $29,250,000 80% Combined MGS and OEM customer investment; real estate excluded MGS Equipment $9,250,000 Included above Component of total equipment target; counted once OEM Customer Equipment $20,000,000 Included above Component of total equipment target; counted once Annual Payroll Growth $5,794,880 80% New-job payroll plus wage growth for existing jobs, measured at end of Year 3 Net Public Benefit Not separately scored 0% Public-purpose context; not weighted in the scorecard Realized performance is compared with each target and multiplied by its performance factor. The adjusted results are added and compared on a normalized basis with a 100% goal. Overperformance on one measure may offset underperformance on another; forgiveness is capped at $750,000. MGS and OEM customer equipment are separately identified above and together form one $29,250,000 equipment target with one 80% factor. Any unforgiven balance will be added to the company note and amortized at 4.0% over its remaining term, with monthly payments recalculated and the original maturity retained. Page 33 of 163 COLLATERAL, GUARANTEES AND FLEXIBILITY Collateral Collateral will be required and tailored to the final structure. EDWC financing is expected to be subordinated to BMO senior debt. EDWC does not subordinate to shareholder debt. Specific liens, carve-outs, assignments, and other credit support will be determined through underwriting. Adjustment upon Forgiveness Collateral requirements will be adjusted after the performance review to reflect earned forgiveness and any unforgiven balance added to the company note. Collateral supporting remaining obligations may continue to be required. Guarantees EDWC’s typical requirements include personal guaranties from any individual owner of 20% or more. The appropriate borrowing entities, corporate guarantors, individual guarantors, and other repayment protections will be confirmed through underwriting and final documentation. Release / Reduction Guarantee and collateral requirements associated with the forgivable component are expected to be released or reduced to reflect earned forgiveness, subject to final documentation and continued support for any remaining company obligations. PREPAYMENT AND FINANCIAL STATEMENT TREATMENT Prepayment No prepayment penalties or fees are proposed. Accounting / Tax Treatment MGS should consult its accounting, tax, audit, and financing advisors regarding treatment of the forgivable portion for financial statement, tax, and financing purposes. NEXT STEP: EDWC INCENTIVE APPLICATION If MGS is comfortable with this general framework, the next step is to submit a complete incentive application to EDWC. That application will allow EDWC to complete underwriting, confirm final terms, and advance the request to the EDWC Impact Loan Fund Committee while the Village advances the related development agreement and TID #7 approvals. This proposal is intended to confirm the general approach and move MGS into the formal incentive process. It is not a binding term sheet or loan commitment. The final structure remains subject to fund availability, underwriting, public approvals, and executed documentation. CLOSING NOTES Actual financing terms are determined by EDWC’s Impact Loan Fund Committee. This proposal is contingent on the following: • Review and approval of a development agreement by the Village Board; • Complete incentive application being submitted to EDWC; • EDWC underwriting; • Approval by the EDWC Impact Loan Fund Committee; • Executed development agreement, intergovernmental agreement, and loan documents; and • Any other requirements deemed necessary by EDWC or the Village of Germantown. [SIGNATURE PAGE FOLLOWS] Page 34 of 163 We are excited to support MGS’s production expansion and continued investment in Germantown. This is a general outline for your review and may not include all details integrated into a final term sheet, development agreement and/or other incentive documentation. If you have any questions, please do not hesitate to reach out to us. We look forward to partnering with you to accelerate production deployment, support additional customer work, and strengthen Germantown’s position for MGS’s future investment. Thank you for your continued commitment to Washington County and the communities where your team lives and works. Page 35 of 163 Business of the General Government and Finance Committee September 21, 2026 Finance Director’s Report Submitted by Lisa Davis, Finance Director The Village Administrator and Finance Director have completed their meetings with departments to review their 2027 Budget requests. We are still reviewing the department budgets, and we are confident that we can present a balanced budget without any service cuts. October 13-15th, the budget is scheduled for review with the Committee of the Whole. The move from Ehlers to Baird is complete. All accounts have been transferred. You will continue to see some large differences at the account level in the next couple of months as we work to catch up and clean up now that we are fully staffed. Last month, Leah from Baker Tilly presented the 2025 audited financial reports. I acknowledge that there are some items that need to be addressed. After the conclusion of the 2027 Budget preparation and adoption, my team will be compiling a list of priorities and begin working to make the finance department more efficient with clear segregation of duties. The monthly Finance Director’s report will detail our progress.
