These taxable bonds would finance and/or refinance a project on behalf of Alexander & Bishop 1, LLC for a retail center located at 1604 S. Appleton Road in Menasha. Pursuant to Section 66.0304(11)(a), Wisconsin Statutes, prior to issuance, bonds authorized by the Public Finance Authority must be approved by the governing body or highest-ranking executive or administrator of the political jurisdiction within whose boundaries to the Project is to be located. The Mayor has the authority to provide written consent to the issuance, however we thought it made sense to bring this matter forward in the form of resolution to Council. The Bonds would not constitute a debt or pecuniary liability, or a legal or moral obligation, of the City for any reason whatsoever and the City is not obligated to levy and tax or make any appropriations for payment of the Bonds. Recommended Motion Recommend Resolution R-41-26 to Common Council. A Resolution Consenting to Public Finance Authority Issuance of Taxable Revenue Bonds for Alexander & Bishop 1, LLC Project Page 4 of 60 RESOLUTION R-41-26 RESOLUTION CONSENTING TO PUBLIC FINANCE AUTHORITY ISSUANCE OF TAXABLE REVENUE BONDS FOR ALEXANDER & BISHOP 1, LLC PROJECT INTRODUCED BY: Mayor Hammond WHEREAS, the Public Finance Authority (the “Authority”) intends to issue its revenue bonds in one or more series of taxable bonds in an amount not to exceed $15,000,000 (the “Bonds”) to finance and/or refinance a project on behalf of Alexander & Bishop 1, LLC (the “Borrower”), consisting of financing: (i) the refunding of outstanding obligations related to a retail center located at 1604 S. Appleton Road, Menasha, Wisconsin, (ii) future tenant improvements, (iii) the providing of cash out to the Borrower, and (iv) the payment of the professional fees and costs of issuance (collectively, the “Project”); and WHEREAS, pursuant to Section 66.0304(11)(a), Wisconsin Statutes, prior to their issuance, bonds issued by the Authority must be approved by the governing body or highest- ranking executive or administrator of the political jurisdiction within whose boundaries the Project is to be located; and WHEREAS, the Borrower has requested that the City of Menasha, Wisconsin (the “City”) approve the financing of the Project and the issuance of the Bonds in order to satisfy the requirements of Section 4 of the Amended and Restated Joint Exercise of Powers Agreement Relating to the Public Finance Authority, dated as of September 28, 2010 (the “Joint Exercise Agreement”), and Section 66.0304(1l)(a), Wisconsin Statutes. NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City that the Common Council hereby approves the issuance of the Bonds by the Authority for financing the Project. It is the purpose and intent of the Common Council that this Resolution constitutes approval of the Bonds by the City, which is a governmental unit having jurisdiction over the area in which the Project is located in accordance with Section 66.0304(11)(a), Wisconsin Statutes, and Section 4 of the Joint Exercise Agreement. The Bonds, when and if issued, shall not constitute a debt or pecuniary liability, or a legal or moral obligation, of the City for any reason whatsoever and the City is not obligated to levy any tax or make any appropriation for payment of the Bonds. Page 22 of 60 Other Disclosures/Disclaimers (continued) Claims Reporting Your policy will come with specific claim reporting requirements. Please make sure you understand these obligations. Contact your Alliant Service Team with any questions. Claims Made Policy This claims-made policy contains a requirement stating that this policy applies only to any claim first made against the Insured and reported to the insurer during the policy period or applicable extended reporting period. Claims must be submitted to the insurer during the policy period, or applicable extended reporting period, as require d pursuant to the Claims/Loss Notification Clause within the policy in order for coverage to apply. Late reporting or failure to report pursuant to the policy’s requirements could result in a disclaimer of coverage by the insurer. Any Employment Practices Liability (EPL) or Directors & Officers (D&O) with EPL coverage must give notice to the insurer of any charges / complaints brought by any state / federal agency (i.e. EEOC and similar proceedings) involving an employee. To preserve your rights under the policy, it is important that timely notice be given to the insurer, whether or not a right to sue letter has been issued. Changes and Developments It is important that we be advised of any changes in your operations, which may have a bearing on the validity and/or adequacy of your insurance. The types of changes that concern us include, but are not limited to, those listed below:  Changes in any operations such as expansion to ano ther state, new products, or new applications of ex isting products.  Travel to any state not previously disclosed.  Permanent operations outside the United States, Ca nada or Puerto Rico.  Mergers and/or acquisition of new companies and an y change in business ownership, including percentag es.  Any newly assumed contractual liability, granting of indemnities or hold harmless agreements.  Any changes in existing premises including vacancy , whether temporary or permanent, alterations, demolition, etc. Also, any new premises either purchased, constructed or occupied  Circumstances which may require an increased liabi lity insurance limit.  Any changes in fire or theft protection such as th e installation of or disconnection of sprinkler sys tems, burglar alarms, etc. This includes any alterations to the system.  Immediate notification of any changes to a schedul ed of equipment, property, vehicles, electronic dat a processing, etc.  Property of yours that is in transit, unless previ ously discussed and/or currently insured. Page 23 of 60 Other Disclosures/Disclaimers (continued) Certificates / Evidence of Insurance A Certificate or Evidence is issued as a matter of information only and confers no rights upon the cer tificate holder. The certificate does not affirmatively or negatively amend, extend or alter the coverage afforded by a pol icy, nor does it constitute a contract between the issuing insurer(s), authorized representative, producer or recipient. You may have signed contracts, leases or other agre ements requiring you to provide this evidence. In those agreements, you may assume obligations and/or liability for others (Indemnification, Hold Harmless) and some of the obligations that are not covered by insurance. We recommend that yo u and your legal counsel review these documents. In addition to providing a Certificate or Evident of Insurance, you may be required to name your landl ord, client or customer on your policy as a loss payee on property insurance or as an additional insured on liability insurance. This is only possible with permission of the insurance company, added by endorsement and, in some cases, an ad ditional premium. By naming the certificate holder as additional insured, there are consequences to your risks and insur ance policy including:  Your policy limits are now shared with other entit ies; their claims involvement may reduce or exhaust your aggregate limit.  Your policy may provide higher limits than require d by contract; your full limits can be exposed to the additional insured.  There may be conflicts in defense when your insure r has to defend both you and the additional insured.  An additional insured endorsement will most likely not provide notification of cancellation. Some insurance companies use a “blanket” additional insured endors ement that provides coverage automatically when it is required in a written contract. Most insurance companies do not want to be notified of all additional insureds when there is a blanket endorsement on the policy. If a notice of cancellation is required for the additional insured party, you must notify us immediately and we will request an endorsement from your insurance company. There may be an additional premium for ad ding a notice of cancellation endorsement for an additional insured. See Request to Bind Coverage page for acknowledgmen t of all disclaimers and disclosures. Background The City of Menasha Downtown Building Incentive Program (DBIP) is designed to support downtown property owners and business owners in making building improvements that extend the life of Menasha’s historic downtown buildings. This program provides matching grant funds to cover design and construction costs directly related to interior and exterior alternations including Façade, Roof, HVAC, Electrical, Plumbing, Insulation, Structural, and ADA related improvements. The Community Development Department administers the DBIP including program promotion, program intake, reviewing completed applications, interpreting program guidelines, and reviewing and approving reimbursement requests. Approval or denial of DBIP applications will occur as applications are submitted. Qualified projects will be approved on a first-come, first-serve basis. Final determination of the award amounts and funding recipients will be made by the City of Menasha Administration Committee. Application Review Staff received a DBIP grant application for 200 Main Street from the building owners (Anna Zoltowski and Robert Ivey). The applicant is requesting funding to pay for roof work, structural repairs, façade restoration, electrical repairs and upgrades, and Page 27 of 60 2 of 2 insulation improvements. The total cost of the projects is $150,000.00 and the applicants are requesting $50,000.00 Staff reviewed the DBIP grant application and found that it meets the guidelines established for the program. Staff also notes that any proposed façade work must be reviewed and approved by the Landmarks Commission prior to the onset of work. Staff Recommendation Recommend the City of Menasha Administration Committee approve the Downtown Business Incentive Program application for 200 Main Street for $50,000.00. The City is recommending a transition to the WCA (Wisconsin Counties Association) Group Health Trust (GHT) with health plans administered through UnitedHealthcare/UMR. The WCA Group Health Trust (GHT) is a health benefits program established in 1991 to help Wisconsin public employers, including cities, counties, towns, villages, and school districts, provide employee health benefits. The Trust was created by Wisconsin county officials to pool resources and develop a health benefits program tailored to the needs of Wisconsin local government employers. GHT provides participating employers with access to health plan options, provider networks, prescription drug programs, and wellness resources. Under the proposed arrangement, GHT would provide the City's health benefits program, while UMR would serve as the third-party administrator responsible for claims processing and related administrative services, utilizing the UnitedHealthcare Choice Plus provider network. This change would provide employees with access to an expanded provider network while maintaining the City’s current health plan designs and benefits. The transition would result in an annual premium increase of 2% compared to the City’s current plans. This strategic change would allow the City to expand provider access for employees and their families while maintaining continuity in plan benefits and responsibly managing the cost of employee health coverage. The two plans are outlined in the GHT contract. Page 47 of 60 2 of 2 Family Advantage Health Plan 2027 will mark the fourth year the City will offer the Family Advantage Health Plan (FAHP) opt-out option. This plan continues to operate successfully: • Projected Annual Savings for 2025: $260,000 • 18 Enrolled Employees Health Reimbursement Account (HRA) Health Reimbursement Arrangements (HRA) Amounts for 2027 for non-represented employees remain the same. Dental & Vision Insurance The City will continue to offer dental insurance through our self-funded Delta Dental plan with no change to plan or premium. The City will also continue to offer vision insurance through Superior Vision with no change to plan or premium. Recommendation Accept and recommend that the Common Council approve the transition from Network Health to the WCA Group Health Trust (GHT), with an anticipated annual premium increase of 2%, while continuing to offer the Family Advantage Health Plan, HRA offerings, and Dental and Vision Insurance, as presented.
