Davidson Road: $4.30 million 2. Fire Engine: $1.00 million 3. Dump Truck: $250,000 4. Park Mower: $130,000 The funding for each project will be handled differently. Based on the anticipated timing and available funding sources, Ehlers recommends the following financing approach. Davidson Road Davidson Road will be paid for throughout the year and has several funding sources that will reduce the amount ultimately financed with long-term debt, including the following estimated cash contributions from Town funds:  Utility District No. 1 - $304,488  Sanitary District No. 4 - $84,685  TID No. 1 - $1,554,340  Discover Brookfield - $170,000 In addition to the amounts above, the Town expects to receive reimbursements from a State grant, estimated at $1.73 million, and the City of Brookfield (the “City”), estimated at $350,000. The Town will front the total cost of the road project with reimbursements to be received after project completion. The Town does not have sufficient cash to initially fund a project of this scale. Accordingly, Ehlers recommends the issuance of a Note Anticipation Note (“NAN”) to provide proceeds to cover the cost of the project. A NAN is a short-term borrowing instrument authorized under Wisconsin law that allows a municipality to finance project costs on an interim basis until a permanent financing source is available. The NAN is typically structured with the expectation that it will be repaid from the proceeds of a future debt issuance and/or project-related reimbursements. We anticipate the NAN would most likely be privately placed with a local or regional financial institution rather than sold through a public offering. This structure generally allows for greater flexibility in designing repayment provisions and draw schedules tailored to the project's construction timeline. We recommend utilizing a draw-down structure whereby funds are borrowed only as project expenditures are incurred. Under this approach, the Town would not receive the entire borrowing amount at closing. Instead, proceeds would be drawn periodically throughout construction as needed. Because interest accrues only on amounts actually drawn, this structure can significantly reduce total interest costs compared to funding the full borrowing amount upfront. Ehlers also recommends structuring the NAN with all interest payable at maturity, eliminating the need for interim debt service payments during the construction period. The anticipated permanent financing would occur in the fall of 2027 through the issuance of General Obligation Promissory Notes (the "2027 Notes"). At that time, the Town would apply any State and Town reimbursement proceeds received during the project period toward repayment of the NAN. Proceeds of the 2027 Notes would be used to retire any remaining NAN principal balance and permanently finance the Town’s remaining project costs not covered by reimbursements or cash contributions. In addition, accrued interest on the NAN could be incorporated into the permanent financing, allowing both the remaining principal and interest obligations of the NAN to be paid from the proceeds of the 2027 Notes. Fire Engine The fire engine will be paid for in fall and is anticipated to be funded directly with the proceeds from the 2027 Notes. Dump Truck and Park Mower The dump truck and park mower will be purchased prior to the issuance of the 2027 Notes. Given the cost of these purchases, it is currently anticipated that the Town will pay for the projects with cash on hand with the expectation that such costs will be recovered by proceeds of the 2027 Notes. To preserve the Town’s ability to reimburse these expenditures with tax-exempt debt proceeds, the Town will need to adopt a reimbursement resolution before the costs are incurred. A sample reimbursement resolution is included as Attachment A. Attachments A.
