The term "operating expense" shall mean and include any expense paid or accrued during the fiscal year that is attributable to the actual day-to-day operations of the District, including but not limited to expenses for salaries, rent, utilities, repairs of equipment, fuel, and insurance. If any question arises regarding whether an expenditure or expense is an "operating expense" or a "capital expenditure" the matter shall be resolved by the application of generally accepted accounting principles. Notwithstanding the foregoing, any single expenditure of less than $10,000 shall be an "operating expense." (B) Payment. All operating expenses shall be paid from user fees, miscellaneous income and payments from each Municipality. Municipality payments shall be apportioned after user fees and miscellaneous income are applied. This apportionment shall be based on the following formula: Factor Total of Operating Expenses Three-year average calculated annually* of equalized valuation (including TID value) of each Municipality divided by the three- year average total equalized valuation (including TID value) of the municipalities. 1/3 Three-year average calculated annually* of the Wisconsin Department of Administration population estimate of the municipalities 1/3 Three-year average calculated annually* of calls for service in the municipalities** 1/3 *Three-year average is based on the most recently completed calendar years. For example, the 2027 budget created in the summer of 2026 would include the years 2023, 2024, and 2025. ** Calls for service outside of the district are excluded from the calculation. For avoidance of doubt, if there are 65 calls in Fitchburg, 33 calls in the City of Verona, 2 calls in the Town of Verona, and 15 calls in other municipalities, the ratio assigned to Fitchburg is 65%, to the City of Verona is 33%, and to the Town of Verona is 2%. . 4.02. Capital Expenditures. (A)Defined. The term "capital expenditure" shall mean and include any expenditure for fixed assets greater than $10,000 individually, or infrequent purchases that total $50,000, or more. Regardless of the dollar amount, the asset should have a useful life of five years or more. (B) Payment. Each Municipality shall pay their proportional share of each capital expenditure, at the same rate as the operating expenses, as defined in 4.01(B), in the year the District makes the payment(s) to the vendor(s). 4.03. Time for Payments. Each Municipality shall pay its proportional share of the annual operating budget of the District in two equal installments on or before February 1 and August 1 each year. Capital expenditures shall be paid within 60 days of the District providing invoices to the Municipalities. 4.04. Unassigned Fund Balance. The District shall seek to maintain an unassigned fund balance between 15 and 25 percent of the total annual operating expenses. The balance is not to be used as a contingency fund, but is to provide a cash reserve to conduct normal daily business. If the expenditures of the District in any fiscal year are less than the revenues collected, as determined by an annual independent audit conducted by a CPA firm, the excess revenues will revert to unassigned fund balance as directed by the EMS Commission, unless otherwise directed by the Municipalities at the Annual Meeting or a Special Meeting of the District. SECTION V Ownership of Assets 5.01. District Owns. The title to all property whether real or personal and regardless of how it is obtained shall vest in the District. 5.02. Equity of Municipalities. SECTION VI Withdrawal from District 6.01. Notice Required. A Municipality may withdraw from the District at any time provided twenty-four (24) months written notice has been given to the Commission and the other municipalities prior to such withdrawal. Said notice shall include a date of withdrawal, which shall not be a federal holiday nor Saturday or Sunday, and shall be no less than twenty-four (24) months from the date of given notice, and may include a request for consideration by the Commission for specific property to be transferred as part of its proportional share to be distributed pursuant to 6.02 below. 6.02. Distribution to Withdrawing Community. A withdrawing community shall be entitled to be paid its proportional share, as determined pursuant to Section 5.02, of the unassigned fund balance stated on the governmental fund balance sheet of the most recent independent audit of the District. SECTION VII Termination of District 7.01 Responsibilities of Municipalities during Dissolution of the District. The participating municipalities acknowledge, recognize, and respect the value of cooperation and collaboration in the event of dissolution of the District. The logistics of ending the District, both prior to and after dissolution, are significant. As such, the participating municipalities will act, through cooperation and diligence, to draft and implement a separate agreement outlining the roles and responsibilities of each participating Municipality, the apportionment, transfer, and/or disposition of District property, assets, and liabilities aligned with each Municipality’s proportional share, and all other matters related to the dissolution of the District. 7.02. Termination of District. The District may be terminated by written consent of each of the Municipalities and shall be terminated if its membership drops to one Municipality. If, pursuant to 6.01, two municipalities give notice to withdraw within 120 days of each other, the District shall be terminated as of the earlier of the two dates of withdrawal provided in the withdrawal notices, and distribution of assets and liabilities shall proceed pursuant to 7.03 and 7.04 below, and 6.02 and 6.03 shall not apply. 7.03. Distribution of Assets upon Termination. Upon termination of the District, its assets, including those acquired by gift or donation, remaining after payment of all of its obligations shall be distributed to the Municipalities which are then members of the District. The Town of Verona will receive its share in cash only. 7.04. Payment of Liabilities upon Termination. In the event that the Municipalities are unable to reach an agreement on any matter affecting the District or its operation, any Municipality may request that the matter be resolved by a single arbitrator. 8.02. Selection of Arbitrators. The arbitrator shall not be a resident of the District or have any contractual, employment or other relationship with any Municipality. The Municipalities shall attempt to agree on the selection of an arbitrator. If no agreement is reached within fifteen (15) days after the request for arbitration is made, the Municipality requesting arbitration shall request that the Chief Judge of the 5 th Judicial District appoint an arbitrator. If the Chief Judge declines to do so, or fails to do so within thirty (30) days after the request is made, the Municipality requesting arbitration shall request that the Wisconsin Department of Administration Municipal Boundary Review Department select an appointee from the Department’s list of approved mediators. Procedural issues relating to the arbitration shall be determined by the arbitrator, but any hearing, discovery or other proceedings requiring the attendance of a representative of a party shall take place in one of the Municipalities. 8.03.
