The Grantee will provide and maintain, or cause to be maintained by its contractor, at all times during the process of construction of the Improvements an “All Risk Broad Form Basis” insurance policy (upon which the City shall be listed as an additional insured) and from time to time during that period at the request of the City, furnish the City with proof of payment of premiums on policies covering the following: (i) Builder’s risk insurance, written on the so -called “Builder’s Risk -- Completed Value Basis,” in an amount equal to 100% of the insurable value of the Improvements at the date of completion, and with coverage available in nonreporting form on the so -called “all risk” form of policy; the interest of the City shall be protected in accordance with a clause in form and content satisfactory to the City; and (ii) Comprehensive general liability insurance (including operations, contingent liability, operations of subcontractors, completed operations and contractual liability insurance) together with an Owner’s Protective Liability Policy with limits against injury and property damage of not less than $1,000,000 for each occurrence (to accomplish the above-required limits an umbrella excess liability policy may be used). B. All insurance required by this Section shall be taken out and maintained in responsible insurance companies selected by the Grantee which are authorized under the laws of the State of Wisconsin to assume the risks covered thereby. Upon request, the Grantee will deposit with the City a certificate or certificates or binders of the respective insurers stating that such insurance is in force and effect. Unless otherwise provided in this Section, each policy shall contain a provision that the insurer shall not cancel or modify it without giving written notice to the Grantee and the City at least 10 days before the cancellation or modification becomes effective. In lieu of separate policies, the Grantee may maintain a single policy, blanket or umbrella policy, or a combination thereof, having the coverage required herein, in which event the Grantee shall deposit with the City a certificate or certificates of the respective insurers as to the amount of coverage in force upon the Improvements. 4.02 Reconstruction. In the event of damage or destruction of the Facilities, the Grantee will forthwith repair, reconstruct and restore the Facilities to substantially the same or an improved condition or value as they existed prior to the event causing such damage, and to the extent necessary to accomplish such repair, reconstruction and restoration, the Grantee will apply the net proceeds received by the Grantee to the payment or reimbursement of the cost thereof. The Grantee shall complete the repair, reconstruction and restoration of the Facilities whether or not the net proceeds received by the Grantee for such purposes are sufficient to pay for the same. Any net proceeds remaining after completion of such repairs, reconstruction and restoration shall be the property of the Grantee . Notwithstanding anything to the contrary contained in this Article, the rights of the City with respect to the receipt and application of any proceeds of insurance shall in all respects be subject and subordinate to the rights of any lender under a mortgage on the Development Property. The obligation to repair, reconstruct and restore the Facilities pursuant to this Section 4.02 terminates upon the issuance of the Certificate of Completion. 4.03 Release and Indemnification Covenants. [20260602R 76] 6 A. The Grantee releases from and covenants and agrees that the City and its governing body members, officers, agents, including their independent contractors, consultants and legal counsel, servants and employees (hereinafter, for purposes of this Section, collectively the “indemnified parties”) shall not be liable for and agrees to indemnify and hold harmless the indemnified parties against (i) any loss or damage to property or any injury to or death of any person resulting from any defect in the Facilities and/or the Improvements, and (ii) any loss, damage, liability or claim therefore concerning the acquisition and relocation obligations of the Parties in connection with the Project, including, but not limited to, the additional property needed for the parking. B. Except for any willful misrepresentation or any willful or wanton misconduct of the indemnified parties, the Grantee agrees to protect and defend the indemnified parties now and forever and further agrees to hold the aforesaid harmless from any claim, demand, suit, action or other proceeding whatsoever by any person or entity whatsoever arising from the Grantee’s construction, installation, ownership, and operation of the Facilities and/or the Improvements. C. The indemnified parties shall not be liable for any damage or injury to the persons or property of the Grantee or its officers, agents, servants, or employees or any other person who may be about the Property or the Improvements due to any act of negligence of any person; provided, that nothing contained herein shall be interpreted to alter the liability of the indemnified parties for any damage or injury to the persons or property of the Grantee or its officers, agents, servants, or employees or any other person who may be about the Property or the Improvements caused by any willful act of the indemnified parties. D. This Section shall survive the termination of this Agreement. Section 5. Events of Default. 5.01 Events of Default Defined. The following shall be “Events of Default” under this Agreement and the term “Event of Default” shall mean, whenever it is used in this Agreement, any one or more of the following events: A. Failure by the Grantee to commence and complete construction of the Improvements pursuant to the terms, conditions and limitations of this Agreement. B. In the event any agreement contained in this Agreement is breached by any party and thereafter waived by any other party, such waiver shall be limited to the particular breach so waived and shall not be deemed to waive any other concurrent, previous or subsequent breach hereunder. 5.05 Agreement to Pay Attorneys’ Fees and Expenses . Whenever any Event of Default occurs and the City shall employ attorneys or incur other expenses for the collection of payments due or to become due or for the enforcement or performance or observance of any obligation or agreement on the part of the Grantee herein contained, the Grantee agrees that it shall, on demand therefore, pay to the City the reasonable fees of such attorneys and such other expenses so incurred by the City; provided that if a claim including, without limitation, a lawsuit or other civil action, is instituted between the parties, the party which does not prevail in such claim shall pay to the prevailing party the reasonable fees of attorneys and other expenses so incurred by the prevailing party, and if the City is not the prevailing party in such a claim, the City shall have no rights under this Section. Section 6. Additional Provisions. 6.01 Notices and Demands . The establishment currently holds an active alcohol license authorizing the sale of beer and cider products only. The applicant is requesting approval to add a “Class B” Liquor Retail License for the sale of intoxicating liquor (issued under Wis. Stats. § 125.51(3)(e)). Each year, the license period for alcohol beverage and cigarette, tobacco, and electronic vaping device retail licenses expires on June 30. All current license holders are required to submit renewal applications through a process established by the Wisconsin Department of Revenue. While these licenses are issued under state authority, administration and approval occur at the municipal level. At the first Common Council meeting in June, the Clerk’s Office presents a comprehensive list of licensees that have submitted renewal applications. As part of this process, renewal applications are reviewed in coordination with the Fire Department, Douglas County Health Department, and Police Department to ensure compliance with applicable requirements and to obtain departmental recommendations. If a recommendation for non-renewal is made, the Common Council is presented with that information at the first June meeting and, pursuant to state statute, is asked to approve the scheduling of a public hearing. The purpose of the hearing is to allow the licensee an opportunity to show cause as to why the license should be renewed. Those licenses for which non-renewal is being recommended are identified in Part 2 of the attached report. At this time, the City Attorney and I recommend that the required public hearings for non-renewal be referred to a special meeting of the Licenses and Fees Committee to be held on or about June 11, 2026 (pending scheduling with the committee and outside counsel). This process would allow for more effective scheduling and preparation of the hearings, including the availability of outside counsel to represent the committee. Following the hearings, the Licenses and Fees Committee would forward its recommendation for approval or non- Heidi Blunt, City Clerk Dawn Bacon, Deputy City Clerk Lori Lang, City Clerk Assistant Phone: (715) 395-7200 Fax: (715) 395-7264 E-mail: cityclerk@superiorwi.gov 1316 North 14th Street, #200 Superior, WI 54880 Website: www.SuperiorWI.gov [20260602R 97] renewal to the Common Council in advance of the June 16, 2026 Council meeting, at which time final action on all alcohol beverage and tobacco license renewals will be considered. [20260602R 107] BEFORE THE CITY OF SUPERIOR STATE OF WISCONSIN COMMON COUNCIL DOUGLAS COUNTY In Re the License(s) of WI Cstore Inc. COMPLAINT by CITY CLERK HEIDI BLUNT 311 Belknap Street and Superior, WI 54880 RECOMMENDATION for NON-RENEWAL Mallik Panda, Owner Tracey Bowman, Agent ___________________________________________________________________________ As City Clerk for the City of Superior, I recommend non-renewal of the Cigarette, Tobacco, and Electronic Vaping Device Retail License, Class “A” Beer Retail Alcohol License, and “Class A” Liquor (for Cider Only) Retail Alcohol License for the above-referenced licensee and premises. Based upon information filed with the City, this establishment has violated applicable regulations of the Wisconsin Statutes and the City of Superior Code of Ordinances. In 2024, the Common Council adopted Ordinance O24-4350 establishing a definition and per- capita limitation for tobacco, e-cigarette, and vape businesses within the City. Under City Code Chapter 122 – Zoning, Article V – Special Uses, Sec. 122-614(42), a “tobacco, e-cigarette, vape business” is defined as an establishment in which ten percent or more of the gross public floor area is devoted to, or ten percent or more of the stock in trade consists of, cigarettes, tobacco products, e-cigarette products, personal vaporizers, electronic nicotine delivery systems, or devices used to ingest tobacco. The ordinance further limits such businesses to one establishment per 25,000 residents, based upon the most recent decennial census. WI Cstore, Inc. applied for licensing at the premises located at 311 Belknap Street in December 2025 and was awarded their licensing in February 2026. The establishment now meets the definition of a tobacco, e-cigarette, vape business under the ordinance and exceeds the permitted per-capita limitation. Through its legal representative, Marissa Powers of Madigan, Dahl & Harlan, P.A., WI Cstore reported that approximately 15 percent of the gross public floor area of the establishment is devoted to the sale or display of such products and that approximately 30 percent of its stock-in-trade during the first quarter of 2026 consisted of such products. Additionally, the licensee failed to report a change of agent as required under Wisconsin Statute § 134.65(1g)(e), which provides that within 30 days of any change in any fact set forth in an application for a tobacco product license, the licensee shall file a written description of the change with the municipal clerk. Additionally, the licensee failed to comply with Wisconsin Statute § 125.04(3)(h), which requires a licensee to report within 30 days any change in facts contained in an alcohol beverage license application. [20260602R 108] Based upon the information available to the City, WI Cstore operated without a duly appointed agent and failed to notify the City of that change within the time required by law. Wisconsin law requires corporations, limited liability companies, and nonprofit organizations holding alcohol beverage, cigarette, tobacco, or electronic vaping device licenses to appoint an agent responsible for the licensed premises and business operations conducted thereon. For these reasons, including operation as a tobacco, e-cigarette, vape business in excess of the City’s per-capita limitation and failure to comply with statutory agent reporting requirements, I recommend non-renewal of the Cigarette, Tobacco, and Electronic Vaping Device Retail License, Class “A” Beer License, and “Class A” Liquor License (Cider Only) for WI Cstore, Inc., located at 311 Belknap Street. Dated this 29th day of May, 2026 ______________________ Heidi Blunt, City Clerk City of Superior, Wisconsin [20260602R 111] BEFORE THE CITY OF SUPERIOR STATE OF WISCONSIN COMMON COUNCIL DOUGLAS COUNTY In Re the License(s) of COMPLAINT by ASSISTANT CHIEF MICHELLE POPE Alyce’s Palace, LLC and Gary Nelson, Owner and Agent RECOMMENDATION for NON-RENEWAL ___________________________________________________________________________ As Assistant Chief of Police for the City of Superior, I am recommending non-renewal of the “Class B” liquor and Class “B” Beer and Licenses, as well as all relevant entertainment licensing for the above-referenced Licensee and Premises. The reason for non-renewal is based on violations of Wisconsin Statutes, Section 125.12(2)(ag)(2) for maintaining a “disorderly or riotous, indecent, or improper house,” as well as violations of City of Superior Code of Ordinances Section 14-130, which provides, in relevant part, that “no disorderly, riotous, illegal or indecent conduct shall be allowed at any time on any licensed premises.” The establishment known as the Alyce’s Palace has been the source of repeated, continuous and ongoing calls for police service. Many of the incidents involved physical or verbal confrontations. In the past twelve months, the police department has documented numerous reports of physical fights and disturbances. There have been multiple reports of fighting among individuals as well as groups of people fighting. Many of these incidents started inside the bar and took place just outside on the sidewalk or most often, behind the bar in the parking lot. The incidents have ranged from multiple loud noise complaints and verbal arguments to felony batteries, sexual assault allegations and recently, drug offenses and the discharging of a firearm. The city’s police department has documented numerous incidents of physical confrontation at the Palace Bar, including several one-on-one and large group fights that have occurred both within the bar and / or have spilled out onto the bar’s parking lot. Physical altercations that originate at the Palace Bar have resulted in forfeiture arrests for disorderly conduct and fighting, as well as misdemeanor and felony arrests for Battery and other charges. Recently, a man who had been causing a disturbance inside the bar was witnessed firing a handgun into the air in the alleyway outside of The Palace Bar at approximately 0015 hours on April 3, 2026. This was witnessed by several patrons and employees of the bar. On one occasion, a patron was alleged to have been offering patrons sex in exchange for alcoholic beverages. On at least two occasions in the last year, violations observed by officers of the Superior Police Department have directly involved staff. On January 7, 2026, Officers located individuals inside [20260602R 112] the bar after bar close who were not employees. After stalling for a couple of minutes, Officers were invited inside. The bartender claimed they had one person inside that they planned to give a ride home and that person was just waiting. However, when the bartender saw the police at the door, she had the two female individuals inside the bar leave through the back door. This bartender had a third person inside the bar who was not an employee whom she stated was “helping her clean”. In a second employee-involved incident, officers located a vending machine inside the bar with what appeared to be THC or CBD products available for sale. This vending machine was allowed to be placed in the bar by the owner, Mr. Nelson. On May 13, 2026, one of our officers entered The Palace Bar while on duty in a plainclothes detail. The officer purchased three THC/CBD items from the vending machine to include gummies, green plant material consistent with marijuana and a vape product. The officer made the purchases without providing proof of age or identification and paid $65.00 for the three products. The officer was never approached by an employee. A subsequent search warrant was conducted on May 29, 2026 which led officers to confiscate multiple products from the vending machine within the Palace Bar. Those items included multiple packages of CBD/THC gummies, vapes and plant material. One of the packages of gummies recovered had markings indicating it contained “50mg THC 10 gummies”. The vending machine also contained approximately $300.00 in cash. During the same search warrant of the Palace Bar, investigators also located “three bindles” of a substance that tested positive for cocaine. Through the investigation, which is still ongoing, investigators were advised that The Palace does not have a permit to sell any type of smoking products. Additionally, the City prohibits vending machine sales of tobacco, cigarette and electronic vape products. I believe that the establishment known as the Palace Bar constitutes a “disorderly or riotous, indecent or improper house” that threatens public health and safety, as well as enjoyment of the surrounding neighborhood.
