RE: 2025 Annual Financial Report
Summary
The City of Amery has received its completed Fiscal Year 2025 Annual Financial Report (AFR) from
independent auditor Lauterbach & Amen, LLP . The auditors will present the report to the Council on June
17, 2026, at which time it will be presented for acceptance.
The 2025 audit resulted in a clean (unmodified) opinion, indicating that the City’s financial records are
accurate and fairly presented. The City’s financial position improved substantially over the prior year:
several long-standing concerns have been reso lved and the General Fund operating reserve grew from
near zero to over half a million dollars. This memo summarizes the 2025 results, notes what changed since
the 2024 audit, and identifies items requiring Council attention going forward.
Two internal control matters also require disclosure. The auditors identified a significant deficiency related
to material audit adjustments detected during fieldwork, and a material weakness related to a restatement
of the prior year General Fund balance. Both are addressed in the Background section.
Background
What the Annual Financial Report Shows
The AFR is the City’s independently audited financial statement. It provides a comprehensive third -party
review of how the City collected and spent public funds during the year, covering every fund in operation:
the General Fund, water and sewer utilities, Tax Incremental Districts (TIDs), and others. It also documents
the City’s long-term assets and obligations, and compares actual results to the Council-approved budget.
The audit is conducted by Lauterbach & Amen, LLP , a Wisconsin firm with substantial experience in local
government auditing. The auditors work independently of City staff and report their findings directly to
the Council.
The 2025 Audit Opinion
The City received an unmodified (clean) opinion for fiscal year 2025, the same result as fiscal year 2024.
The auditors found no material errors or misstatements in the City’s financial records. A clean opinion in
both consecutive years reflects reliable financial reporting by City staff.
Internal Control Findings
In addition to the audit opinion, the auditors issued a separate SAS 115 communication to the Council
regarding internal control matters. Two findings are reported:
• Material Weakness: The audit identified a material restatement to the General Fund’s beginning
fund balance that was detected through audit procedures rather than by City staff prior to the
audit. Land previously classified as held for resale was reclassified as a capital asset, reducing the
prior reported beginning balance by $250,780. The reclassification corrects the asset classification
under applicable accounting standards and has no effect on 2025 operational results. However,
the fact that it required audit detection rather than internal identification constitutes a material
weakness in the City’s internal controls over financial reporting.
104 Maple Street W., Suite A Office: 715.268.7486
Amery, WI 54001 Fax: 715.268.4870
• Significant Deficiency: The audit also produced material audit adjusting journal entries detected
by auditing procedures. This is a less severe classification than a material weakness but is still
significant enough to warrant Council attention. Administration will review pre -audit closing
procedures with the goal of reducing the volume of adjustments required at fieldwork.
Overall Financial Position
The most significant development in the 2025 report is the improvement in the City’s overall financial
position. Two indicators are worth noting:
• Unrestricted Net Position: This figure represents the City’s bottom line across all funds, assets,
and long-term obligations. At year-end 2024, it stood at a deficit of approximately $1.75 million.
At year-end 2025, it turned positive at $693,077, a change of nearly $2.4 million in a single year.
• General Fund Unassigned Balance: This is the City’s primary operating reserve. At year-end 2024,
it was essentially zero. At year -end 2025, it stood at $593,450. City policy requires a minimum
reserve equal to 50% of annual budgeted operating expenditures; the current balance represents
approximately 14% of the 2025 budget. The reserve remains well below the policy target, but the
direction and pace of improvement are encouraging.
These results are attributable to controlled spending, conservative revenue assumptions, and the
elimination of several deficit fund balances over the past two years.
Year-Over-Year Comparison
The table below summarizes key financial indicators for the two most recent audited years:
Indicator 2024 2025 Direction
Unrestricted Net Position ($1,750,000) $693,077 Improved ~$2.4M
General Fund Unassigned Balance ~$0 $593,450 Improved $593K
General Fund Reserve (% of budget) ~0% ~14% Policy target: 50%
Total Governmental Debt $9,177,886 $11,228,099 Increased (capital investment)
Utility Debt (Sewer/Water) $6,898,434 $13,226,185 Increased (sewer bond)
Legal GO Debt Margin $9,374,886 $7,698,634 Decreased; monitor
TID #6 Deficit ($1,245,691) ($937,767) Improving
TID #7 Deficit ($75,498) ($18,369) Improving
TID #8 Deficit ($55,193) $0 Resolved
Capital Improvements Fund Deficit ($915,157) $0 Resolved
TID #10 Deficit ($28,445) ($40,798) Monitor (see below)
Debt
The City’s total debt increased in 2025, largely due to the issuance of an $11,526,201 sewer revenue bond
through the State of Wisconsin Clean Water Fund at a long -term fixed interest rate of 2.31%. This bond
finances the City’s sewer infrastructure projec t and is repaid through sewer utility rates, not property
taxes, so it does not apply against the City’s legal borrowing limit. A sewer rate review will be needed to
confirm that rates are adequate to service this obligation over its term. The Sewer Fund’s current working
104 Maple Street W., Suite A Office: 715.268.7486
Amery, WI 54001 Fax: 715.268.4870
capital shortfall relative to policy targets reflects the timing of project expenditures ahead of loan draw
reimbursements; this is expected to normalize as the project is completed.
The City also issued approximately $2.73 million in new promissory notes for capital and TID -related
purposes. The City’s remaining legal borrowing capacity decreased from approximately $9.4 million to
$7,698,634. Capacity remains adequate for near-term needs, but this trend should be considered in future
capital planning.
Tax Incremental Districts
TIDs allow the City to finance public improvements within a defined district and repay those costs using
the incremental property tax revenue generated by resulting development. Three funds that carried
deficits at year-end 2024 were fully resolved in 2025: TID #8, the Capital Improvements Fund, and the Debt
Service Fund. TID #6 continues to improve, with its deficit declining from $1.25 million to $937,767. TID
#7’s deficit improved from $75,498 to $18,369.
TID #10 requires some explanation. Expenditures exceeded the approved budget by approximately $1
million in 2025, and the fund deficit increased slightly to $40,798. The overrun is attributable to
completion of a specific infrastructure project for which the developer paid approximately half the public
infrastructure costs. Forty-two new housing units are projected to come online over the next four years,
and the increment revenue from that development is expected to support the district’s long-term position.
Administration does not consider TID #10 a financial concern at this time but will report on its performance
as part of the regular financial update schedule.
Management Letter
The Management Letter is a separate communication the auditors provide to City leadership documenting
internal practice observations and recommendations. These items do not affect the audit opinion but
represent areas where City procedures can be strengthened. The following findings were resolved in 2025
or prior cycles:
• Collateralization of deposits (resolved; will not be repeated)
• TID #8 deficit eliminated
• Capital Improvements Fund deficit eliminated
• Debt Service Fund deficit eliminated
The following findings remain open or were added for the first time in 2025:
• General Fund Reserve Below Policy Target. The unassigned fund balance grew substantially
during 2025 but remains at approximately 14% of budgeted expenditures, well short of the 50%
policy minimum. Reaching that target will require sustained budget discipline over multiple cycles.
• Sewer Fund Working Capital Below Policy Target. The Sewer Fund’s current working capital is
negative, falling short of the 25% reserve threshold by approximately $1.0 million. As noted above,
this reflects project expenditure timing ahead of loan reimbursements and is expected to improve.
Administration will monitor the fund’s trajectory through project close-out.
• Expenditures Over Budget. The General Fund and Library Fund each ran over budget in 2024 but
came in under budget in 2025, which is an improvement. Funds with overruns in 2025 include:
Capital Improvements ($311,882), TID #10 ($1,035,517), TID #8 ($11,077), and Debt Service
104 Maple Street W., Suite A Office: 715.268.7486
Amery, WI 54001 Fax: 715.268.4870
($47,236). More consistent mid -year budget monitoring and the use of formal budget
amendments for capital projects will be priorities in 2026.
• Commingled Cash Allocation. The City pools its cash balances for investment purposes, a standard
and beneficial practice. The auditors have noted that the current allocation method results in
some individual fund balances appearing negative. This is an accounting presentation concer n
rather than an actual cash shortfall. Administration is reviewing options for addressing the
allocation methodology.
• Account Reconciliations - Library and Police Funds. Both departments maintain bank accounts
that have not been reconciled within the City’s accounting system (Workhorse), though
department staff reconcile the accounts independently. This finding has recurred over multiple
audit cycles. Both accounts were brought into compliance in 2026, and Administration will confirm
that status with the auditors at the June 17 meeting.
• IT Security (New Finding). The auditors included a cybersecurity recommendation for the first
time, consistent with a broader trend in Wisconsin local government audits. No security incident
was identified. The auditors recommend that the City strengthen practices in several areas: multi-
factor authentication, data backup and recovery testing, staff training on phishing and social
engineering, and security provisions in vendor contracts. Administration will develop a written
action plan in response.
The auditors also flagged two upcoming Government Accounting Standards Board pronouncements (GASB
103 and GASB 104) that will change financial statement presentation requirements beginning with fiscal
year 2026. Administration will coordinate with Lauterba ch & Amen in advance to prepare for those
changes.
Financial Impact
The 2025 audit does not present any immediate negative financial impact to the City’s operating position.
The improvements described above represent a substantially stronger financial footing than the City held
a year ago: nearly $2.4 million in net position recovery, a $593,450 General Fund reserve where effectively
none existed, and three deficit funds eliminated.
The primary areas to monitor going forward are as follows:
• Rebuilding the General Fund reserve toward the 50% policy target will require continued spending
discipline over the 2026 and 2027 budget cycles.
• The sewer revenue bond will require periodic rate reviews to confirm the Sewer Fund remains
self-supporting over the 29-year term of the obligation.
• The Sewer Fund’s working capital position should be tracked through project close-out to confirm
that the shortfall resolves as expected.
• The City’s legal borrowing capacity should be factored into capital planning decisions, particularly
as the TID program and infrastructure investments continue.
• TID #6, TID #7, and TID #10 should each be tracked to confirm that increment revenues remain
sufficient to retire outstanding deficits within applicable statutory timeframes.
• The material weakness and significant deficiency findings warrant a review of pre -audit internal
controls, with the objective of reducing reliance on audit-stage detection of misstatements.

AMERY AIRPORT HANGAR AREA LEASE
THIS AGREEMENT is hereby made and entered into this 17th day of June, 2026, by and between the City of
Amery, Wisconsin, a municipal corporation organized and existing under and by virtue of the laws of the State of
Wisconsin, hereinafter referred to as the Lessor, and Bunny Air, LLC, hereinafter referred to as the Lessee.
WITNESSETH:
WHEREAS, the Lessor owns and operates an airport known as the Amery Municipal Airport, and Lessor is
desirous of leasing to the Lessee a certain parcel of land on said airport, hereinafter more fully described, to be utilized
by the Lessee for the primary purposes of aircraft storage and maintenance of a certified registered aircraft, part 103
aircraft or an experimental aircraft under construction, and
WHEREAS, the Lessee will use the property hereinafter described for the primary purpose of storing aircraft
and shall conduct only such aircraft maintenance on the Lessee’s own aircraft as performed by the Lessee or by
regular employees of the Lessee; Lessee may use the property for incidental purposes which do not interfere with any
other Lessee’s use of the airport and does not create any health, property or fire hazards or dangers; Lessee shall not
use the property for any commercial purpose servicing any third party; the Lessee will not use said property for any
other purpose, and the Lessee or an associate of the Lessee should hold a valid pilots license.
NOW, THEREFORE, for and in consideration of the rental charges, covenants, and agreements herein
contained, the Lessee does hereby hire, take and lease from the Lessor, and the Lessor does hereby grant, demise and
lease unto the Lessee the tract of land described and referred to in paragraph 1 below upon the following terms and
conditions:
1. The City of Amery does hereby grant, demise and lease unto the Lessee the following tract of land at the Amery
Municipal Airport with respect to which the Lessee is to have for the term of this Lease the exclusive use of said
tract which is described as follows:
J-1
(64x64)
2. The Lessee shall have the right to erect, maintain and alter buildings or structures upon said premises providing
such building or structures conform to the administrative code requirements of the Wisconsin Industrial
Commission and any ordinance of the City of Amery now or hereafter in effect. All plans for such buildings or
structures shall be reviewed and approved by the Amery Airport Commission. Title to the buildings erected by the
Lessee shall remain with the Lessee and shall be transferable (although no rights under this lease shall be
assignable or transferable).
3. The Lessee shall have the right to install a private well in accordance with City of Amery Ordinance 411-36 Sec E. If
a well is planned for installation a County approved Sewage System must also be installed. The Lessee shall also be
responsible for obtaining a Zoning Permit from the Zoning Administrator for the installation of the well and the
private sewage system tied to the well.
4. The term of this lease shall be for a period of twenty-five (25) years commencing on the 17th day of June, 2026,
provided however, that the amount/rate of annual rental is subject to revision. (All hangar area leases at the
airport shall be subject to revision at the same time. Said leases are subject to revision of rent as determined by
Lessor. Any such revision shall be made effective for January 1 of a given year with notice thereof provided in
advance on or before December 1 of the preceding year. Thereafter, the leases, as a group, including this lease,
will be subject to revision not less than three years from the date of the prior revision.)
2
Upon expiration of the 25-year term, the Lessee may obtain a 10-year lease renewal based upon the then existing
terms and conditions of the most recently promulgated version of the lease. The extension shall be allowed only
upon a proper inspection of the premises and a finding that the Lessee’s structure remains of substantial quality
construction, being of acceptable appearance, weather-tight, rodent-proof, and generally of a nature consistent
with surrounding structures.
Upon expiration the 10-year extension, Lessee may seek an additional extension based upon the same standards
specified above.
5. The Lessee agrees to pay to the Lessor for use of leased premises, an annual rental of nine cents (.09¢) per square
foot for the land leased, for a total annual charge of $368.64. The first annual rental payment shall be payable on
the date on which this lease is signed. Subsequent annual rental payments shall be due and payable to the City
Clerk at City Hall in the City of Amery, Wisconsin on or before January 1st of each year. It is understood and agreed
that the rental rate herein specified shall be subject to reexamination and readjustment as set forth above,
provided that any readjustment of said rates or as the same may be amended hereafter, shall be reasonable. If
the Lessor and the Lessee are unable to agree as to what is “reasonable” for any year of this lease, the issue of
what constitutes a “reasonable” rate shall be submitted to an arbitrator whose decision on that issue shall be
binding on both parties. If the parties are unable to agree on the selection of an arbitrator, the parties will request
the State of Wisconsin, Department of Transportation/Division of Aeronautics appoint a person who is
knowledgeable with regard to lease rates at municipal airports of a similar size and nature, to act as arbitrator.
Costs of arbitration shall be shared equally by Lessor and Lessee. The decision will be binding upon Lessee.
6. The Lessee shall have the right to the non-exclusive use, in common with others, of the airport parking areas,
appurtenances and improvements thereon; the right to install, operate, maintain and store, subject to the
approval of the Lessor in the interests of safety and convenience of all concerned, all equipment necessary for the
safe hangaring of the Lessee’s aircraft, the right of ingress to and egress from the demised premises, which right
shall extend to Lessee’s employees, guests, and patrons; the right, in common with others authorized to do so, to
use common areas of the airport, including runways, taxiways, aprons, roadways, and other conveniences for the
take-off, flying and landing of aircraft.
7. The Lessee agrees to observe and obey during the term of this lease all laws, ordinances, rules and regulation
promulgated and at any time by the Lessor, and by other proper authority having jurisdiction over the conduct of
operations at the airport.
8. Lessee shall assume liability for, be responsible for, indemnify, and at Lessor’s request defend, and save harmless
Lessor and anyone to whom Lessor may be liable by contract or otherwise, against loss, damage or expense arising
from any actual or claimed death or any actual or claimed injury to any person, or any actual or claimed damage to
property, whether owned by Lessee or third parties, including loss of use, which actually or allegedly results from,
or actually or allegedly arises in connection with this lease agreement, or Lessee’s invitees, agents, or employees,
use of the premises or any part thereof.
9. The Lessee will maintain the structure occupied by Lessee and the surrounding land premises in good order and
make such repairs as are necessary. If a property is deemed blighted by the City, the Lessee must repair or
remove the structure. If the property is not maintained by the Lessee the Airport Manager maintains the right to
have the area repaired and the Lessee will be billed. Natural gas shall be the only type of gas used to heat any
structure. In the event of fire or any other casualty, the owner of any such structure so affected shall either repair
or replace the building or restore the leased area to its original condition; such action must be accomplished
within 120 days of the date the damage occurred. Upon petition to Lessor by the Lessee, the Lessor may grant an
extension of time if it appears such extension is warranted.
10. Lessor reserves the right to enter upon the premises at any reasonable time for the purpose of making any
inspection it may deem expedient to the proper enforcement of any of the covenants or conditions of this
agreement.
3
11. Lessee shall pay all taxes or assessments that may be levied against the property of the Lessee or the buildings,
which he may erect on the lands leased exclusively to lessee. The Lessee agrees that for taxation purposes, any
building or structure erected on the premises leased to the Lessee shall be taxed as personal property by the City
of Amery.
12. Lessee agrees that no signs or advertising matter may be erected without the consent of Lessor.
13. The Lessee agrees that Lessee will not allow any unauthorized personnel to have access to the key or keys
provided to Lessee for the lock on the airport gate. The Lessee further agrees that if additional keys are needed,
the Lessee will secure them from the City of Amery.
14. The Lessee agrees that no fermented malt beverages or intoxicating liquors shall be sold on the leased premises.
15. Failure on the part of the Lessee to pay the rent hereunder within 30 days after same shall become due, shall
authorize Lessor, at its option and without legal proceedings, to declare this lease void, cancel the same, and re-
enter and take possession of the premises.
16. If Lessee shall violate any of the restrictions in this lease, or shall fail to keep any of its covenants after written
notice to cease such violation and shall to correct such violation within thirty days, the Lessor may at once, if it so
elects, terminate the same and take possession of the premises.
17. Lessee may not, at any time during the time of this lease, assign, hypothecate or transfer this agreement or any
interest therein, without the consent of the Lessor, which consent may be withheld.
18. The Lessor reserves the right to further develop or improve the landing area of the airport as it sees fit, regardless
of the desires or view of the Lessee, and without interference or hinderance from Lessee. If the hypothetical
development of the airport requires the location of the Lessee, the Lessor agrees to provide a compatible location
on which the Lessee shall relocate his/her buildings at the Lessee’s expense.
19. The Lessor reserves the right, but shall not be obligated to the Lessee, to maintain and keep in repair the landing
area of the airport and all publicly owned facilities of the airport, together with the right to direct and control all
activities of the Lessee in this regard.
20. The Lessor reserves the right to take any action it considers necessary to protect the aerial approaches to the
airport against obstruction, together with the right to prevent the Lessee from erecting or permitting to be
erected any building or other structure on the airport which, in the opinion of the Lessor, would limit the
usefulness of the airport or constitute a hazard to aircraft.
21. This lease shall be subordinate to the provisions of any existing or future agreement between the Lessor and the
United States, or the State of Wisconsin relative to the operation or maintenance of the airport, the execution of
which has been made or may be required as a condition precedent to the expenditure of federal or state funds for
the development of the airport. Furthermore, this lease may be amended to include provisions required by these
agreements with the United States of America or the State of Wisconsin.
22. During the time of war or national emergency, the Lessor shall have the right to lease the landing area or any part
thereof to the United States government for military or naval use, and if any such lease is executed, the provisions
of this instrument, insofar as they are inconsistent with the provisions of the lease to the government, shall be
suspended.
IN WITNESS WHEREOF, the parties have hereunto set their hand and seals this ________day of _____________,
20_____, at Amery Wisconsin.
