Hello!
I am so sorry
that I can't
make tonight's meeting, especially since the issue of The Blackstone
Golf Course is on the agenda.
I have been following this with great interest...not only as a member of the Germantown
community, but as a homeowner whose backyard is on the golf course.
This golf course is a gem for our community! I can attest to how much traffic the course
enjoys from all of our community! Currently, I enjoy watching the high school girls golf team
practice and host their conference
tournaments
on Blackstone! All ages come across the
course and it is a popular spot for golf outings!
I support this lease in an effort to buy you all time to figure out how to make this course a
permanent
asset for our community. We are currently in the process of community
engagement studies to better guide how we all want the village to move forward.
It is also my understanding that the Conservation Department for Washington County has
received
grant money to research the waterways that traverse the county including the
Menomonee River which cuts right through our village. I think this may be vital information
to look to in deciding the best way to care for our environmental assets.
Thank you for your time...and thank you for the hard work that you all put into representing us
and working for our village!

Subject: COMMENTS ON THE VILLAGE BOARD MEETING ON 9-8-26 ON ITEM ABOUT THE EMS

Importance: High
CAUTION: This email originated from outside the organization.

Hello,
We have a lot to say on this topic!
First, have all of you got caught up on the COUNTY PUBLIC SAFETY MEETINGS, that they have
been having?
If not, you need to watch all the meeting starting with 7-29-26 and going up to now.
Just on THE COUNTY PUBLIC SAFETY MEETINGS
They are available on YOUTUBE! Please watch and listen closely.
Yes, we have been watching them too! Never thought we would be doing too!
JUST SO YOU ARE AWARE- The residents have no PUBLIC INPUT at their meetings.
Only the COUNTY SUPERVISORS are allow to speak at the meetings!
Sometimes you can tell, if they are asking your questions and or concerns.
Otherwise, hard to know, if they are speaking up for the residents!
Also, the county supervisors are not easy to get hold of either!
Do you realize in this VILLAGE BOARD agenda, it has a list of numbers attached?
Also, NOTHING attached in the COUNTY AGENDA for 9-2-26 meeting.
At the last 9-2-26 COUNTY PUBLIC SAFETY SPECIAL MEETING-
Nothing was mention on these numbers, that you are seeing attached.
It was stated that they need to get "CONCRETE NUMBERS " out to all.
Are you aware that WASHINGTON COUNTY has 20 communities= 2 cities, 6 villages and 12
towns.
It shows 16 vs 13 communities involved in this EMS. What is correct? Nothing said about that.
What is going on with the other 3 community's?
This was noted in their agenda in the resolution.
How do the 7 PRIVATE FIRE DEPARTMENTS will affect this EMS PROGRAM?
Once again, nothing said about that
EXAMPLE: SLINGER FIRE DEPT- they are private . They have LIFESTAR as a provider for their
EMS services.
Yes, their fire department does help out. But mostly falls on LIFESTAR.
Then the CO.EX. Says that Slinger gives LIFESTAR "free space" for the Ambulances.
DRAFT
That not TRUE!
Nothing being said how this will affect LIFESTAR so far!
Are you aware they want the "communities" to write up their own resolution to "OPT IN"?
This was decided on the 9-2-26 meeting at the county.
They are "FLIPPING /FLOPING who will be responsible to write up the resolution!
It is coming across they don't know what to put in it! NOTHING SPELLED AGAIN!
Also, had listed the WI.LEAGUE STATUTES in the resolution; nothing was spoken about this.
I did attach the Municipal League Letter to our comments and send into the COUNTY and you
as well.
So, they just take thing add it into the resolution. NOTHING SPELLED AGAIN!
Then the "THREAT" yes; they both deny this being said. Then the "smirks" on their faces. They
LIES!
(yes, it is recorded there too)
Think back to Jan. 2026 village board meeting when this was said at the meeting. Yes, it was
recorded here!
Well, it is still there!
BUT
In the Discussion Points at the presentation at the VILLAGE BOARD, it is listed what happens if
the community DOES NOT WANT TO BE IN THE EMS PROGRAM.
It was talked about a bit, say the VILLAGE does not agree to do this in the beginning.
Yes, we all would still pay BUT NO MONEY BACK!
Then in the "FUTURE" you decide that the VILLAGE MADE A MISTAKE! They say the village can
join in BUT do not know how much money they would get at the time. Would it be where they
are at that time and or you would have started at the beginning. NOTHING SPELLED OUT
AGAIN!
Confused on what was said about the 23 fire depts that show up at THE NUEMANN'S FAMILY
FARM FIRE-
It was said this is what this EMS is about . Believe they show up due to "MUTUAL AID"
Yes, we really understand about "MUTUAL AID" due to our family history with different fire
depts.
So, is this "EMS PROGRAM" about "MUTUAL AID"? Not really sure!
Which brings up the BIG QUESTION-What exactly does this EMS PROGRAM really stand for?
PLEASE SPELL IT OUT , so everyone understand exactly!
It was stated a couple of times during the county meetings by DAVE SEAGER, that EMS will
also be used for "SLIPS, TRIPS AND FALLS PROGRAM"
DRAFT
When I ask this question of a BOARD MEMBER, they stated in a phone call to me, that will not
happen here,
don't have the staff for it. Not in the budget.
BUT
Look at the agenda for tonight, where the FIRE DEPT. Is asking to buy a new vehicle.
It states right in the agenda that this vehicle will be used for "THE COMMUNITY RISK
REDUCTION PROGRAM" which includes the SLIPS,TRIPS AND FALLS inspection in a resident's
home.
Nothing said if there is a "fee" for this to be done or not!
NOTHING SPELLED OUT AGAIN!
The COUNTY keeps saying that they DON'T WANT TO BE IN CONTROL!
Then why do all the fire departments needs to have their budgets done and turn into DAVE
SEAGER to go over?
He will make sure they are following the rules!
What RULES??? Not sure yet!
One big thing that stands out is, if the community "borrows money for the fire department"
Once again DIDN'T SPELL OUT WHAT THAT MEANS!
But comes across that will affect the
money that the village would get.
Then the increases for the following years. NOTHING SPELLED OUT ON THIS-only the percents
that they would charge!
Nothing noted after this year, if the WI. SALES TAXC SURPLUS MONEY, would be used again!
This year $600,000. Will be used out of 2026 surplus . The WASHINGTON CO SALES TAX
SURPLUS FOR 2026 IS SO FAR- $12.18 million up to August 2026, FROM THE STATE.
You all need to go back and look up how much the COUNTY has received back from the STATE
OF WI.
By the way, what is total surplus that GERMANTOWN has receive so far?
Has the village ever gotten the 20% that was voted on by the residents in a referendum to
receive to be used on the VILLAGE ROADS?
Someone needs to be looking in this !
Our roads are not the best!
We would like to know exactly how many of you that was on the board, when Mr. Kreklow
went to the CO.EX. And said we need help paying the salaries for the "referendum of the new
hires"?
Yes, the CO.EX. Through this out at 7-29-26 meeting! Yes, this is on YOUTUBE recording of the
COUNTY MEETING!
Can't make this up!
Another BIG QUESTION: Why the CO.EX. Never spoke to the Rep. Knodel until the day before
DRAFT
the meeting that was on 8-19-26 and had breakfast? The STATE OF WI has a BIG SURPLUS
TOO!
Why not ask for help?
NOTHING SAID ON THIS!
Another BIG QUESTION-What is exactly this $790,481. That needs to be cut to get down to the
4cents per $1,000. Value on a home. Ex: $400,000 home would be tax at $16.00 a year.
ONCE AGAIN NOT SPELLED OUT and or talked about!
Are all you aware of Mr. Dave Seager is a former CITY OF MILWAUKEE Firefighter employee,
which entitled him to a pension from the city. Maybe another pension from the COUNTY OF
WASHINGTON?
If he is here long enough.
Another thing, no one from the fire department and or the board has brought up.
Go look at your WATER AND SEWER BILL-for the resident who pay this PUBLIC FIRE
PROTECTION FEE,
Which is at $5.07now.
This started back on the water/sewer bill for the service of 12/9/21 to
3/1/22.
The rate was originally at $2.13. Yes, I do have all my water bills, if you need to see this!
This was originally brought up when the former board moved it to the water and sewer bill
and NOT ALL RSIDENTS PAY THIS FEE, due to not being on water and sewer! Unfair was said at
the time!
They didn't care, just wanted another way to get money into the village!
But if their home/business is on fire, the fire dept. Goes no matter what! This is true!
Even if they don't fire hydrants out in their areas. Water needs to be trucked in
Ex: STAG BAR FIRE-recently.
So, will this fee be removed from the water/sewer bill?
OR
WILL THE VILLAGE AND COUNTY BE DOUBLE DIPPING AGAIN?
Just ask some of the older trustees ,who are on the board, what I'm talking about.
So many more UNANSWERED QUESTIONS YET!
Think about this, would you personally sign a "CONTRACT" that does not have everything
"SPELLED OUT COMPLETELY"?
Is this the BEST THING TO DO?
NOT SURE!
BUT
Did this village check out all the options out there?
Think not yet!
DRAFT
Does this really need to be done, by the time the CO.EX. Spoke? This was at 7/29/26 meeting,
at the end of meeting, when he informs them what had to be done.
Also, still waiting for the information from the county that was supposed to be put out to all of
the residents in the county!
Do all of you realize that there are 139,000 residents in the WASHINGTON COUNTY?
So much more to say!

MEETING DATE: September 21, 2026
PLACEMENT: Action Item
ITEM TITLE: Replacment of Ford F-150 Police Responder Squad Involved in a
Crash (ACTION)
SUBMITTED BY: Patrick Merten, Police Chief
SUMMARY EXPLANATION:
The Germantown Police Department is requesting approval to purchase a new 2027
Ford F-150 Police Responder to replace a department squad vehicle that was recently
totaled as a result of a motor vehicle crash.
On Sunday, August 16, 2026, a Germantown Police Department squad car was struck
by another vehicle after the other driver crossed the centerline of the roadway. As a
result of the collision, the squad car tipped onto its passenger side and sustained
extensive, major damage.
Following the crash, the vehicle was inspected by the insurance company and
determined to be a total loss. The insurance company will cover the replacement cost
of the squad vehicle. The applicable insurance deductible will also be submitted to the
other driver's insurance company for reimbursement.
The Department is requesting authorization to purchase a 2027 Ford F-150 Police
Responder as the replacement vehicle. This vehicle will provide the Department with a
suitable replacement for the totaled squad and will allow the Department to maintain its
operational capabilities and fleet needs.
At this time, there are no new F-150 Police Responder vehicles readily available for
purchase. Therefore, the replacement vehicle will need to be ordered from the
manufacturer. Ordering the vehicle will allow the Department to begin the replacement
process as soon as possible while awaiting production and delivery.
1 – Ford F-150 Police Responder $48,727.00
The replacement vehicle will be funded through the insurance proceeds associated with
the totaled squad car. The Department does not anticipate an out-of-pocket vehicle
replacement cost, other than any applicable deductible or related expenses that will be
pursued through the responsible driver's insurance coverage.

telecommunication and drainage utilities and appurtenances. All Surface Restoration shall
be completed prior to Final Acceptance by the Public Works Committee.
(d) Off-site sediment tracking is closely monitored by Village and County Inspectors. To assist
in reduction of sediment infiltration of ponds and streams, sediment tracking must adhere
to the Sediment and Erosion Control Plan, which shall include the use of tracking pads and
daily sweeping of streets as necessary. Violations of tracking practices shall result in the
Village cleaning the streets traveled by construction equipment with a street sweeper as
deemed necessary by the Village Building Inspector or Engineer. Developer shall be
charged and invoiced at standard rates set by the Village in accordance with Exhibit B for
any such street sweeping services rendered, and Developer shall remit payment within 60
days of receipt of such invoice(s). If not so promptly paid, the Village may charge
Developer's escrow account or draw on Developer's financial guaranty established pursuant
to Section 6.01 of this Agreement, to recover such costs. Notwithstanding the foregoing,
the right of the Village to respond to off-site sediment tracking hereunder shall not excuse
Developer from compliance with required erosion control measures or be considered a
substitute or replacement for such measures.
(e) Topsoil to be stockpiled on site. No topsoil to be transported off site, except in accordance
with Section 17.441 of the Municipal Code. Final yard grades, building elevations and
contours shall conform to a 0.25-feet tolerance as compared to the grading plan pursuant to
Sec. 14.076 of the Municipal Code.
(f) Developer shall remove and dispose of all erosion and sediment control devices after
landscaping and after 85% successful vegetative cover has been achieved to the satisfaction
of the Village Engineer.
Section 1.08 Storm Water Drainage Facilities. Developer shall cause to be designed and
submitted to the Village Engineer for approval any designs for stormwater drainage and retention
and detention facilities, which will need to be adequate to accommodate expected surface water
flow within and through the Project. Design and installation shall conform to Wisconsin
Department of Natural Resources Conservation Practice Standards, Milwaukee Metropolitan
Sewerage District Ch. 13 Rule, Ch. 27 and Sec. 18.08(10) of the Municipal Code, and the
applicable sections of the Village of Germantown Infrastructure Standards Development
Handbook. All such documents shall be prepared in accordance with state and local standards by
a Professional Engineer registered in the State of Wisconsin and submitted stamped and signed for
review by the Village Engineer and by all applicable governmental agencies. Implicit in this
provision is the right of the Village Engineer and Building Inspector to require document revisions
and modifications in accordance with the foregoing standards.

and approval, and record with the Washington Co. Register of Deeds a Declaration of Covenant
for Storm Water Management Facility Maintenance before applying for a final occupancy permit.
Developer shall prepare and submit to the Village Engineer a Storm Water Management Facility
Compliance Report and an Engineering/Construction Certification letter before applying for a
final occupancy permit.
Section 1.09 Improvements to Streets Abutting Subdivision. Developer shall install
an entrance intersection connecting the Subdivision’s internal private roads to Division Road.
Developer shall design and submit to the Village Engineer for approval all proposed plans,
specifications and contract documents for all improvements to streets abutting development before
authorization for construction will be given. Design and installation shall conform to Sec.
18.08(15) of the Municipal Code and the applicable sections of the Village of Germantown
Infrastructure Standards Development Handbook. All such documents shall be prepared in
accordance with state and local standards by a Professional Engineer registered in the State of
Wisconsin and submitted stamped and signed for review by the Village Engineer and by all
applicable governmental agencies. Implicit in this provision is the right of the Village Engineer
and Building Inspector to require document revisions and modifications in accordance with the
foregoing requirements. All improvements to streets abutting development that are to be
transferred to the Village shall be contained in Village right-of-way dedicated to the Village.
Work-in-right-of-way permits shall be applied for by Developer and secured from the
Village Engineering Dept. All improvements to streets abutting the Subdivision that will be
transferred to the Village shall be inspected by Engineering Dept. and Highway Dept. personnel
prior to acceptance by the Public Works & Highway Committee.
Article II. CONSTRUCTION
Section 2.01 Generally. Developer, at its own expense, shall construct and install all Public
Improvements and provide all plans, specifications and other documents in accordance with
Section 18.09 of the Municipal Code. Developer understands and acknowledges that the Municipal
Code may be and is subject to revision from time to time. Developer hereby agrees that with respect
to any such revision which shall be fully and finally approved by the Village Board prior to issuance
of permits applicable to a portion of work, Developer shall adjust the plans and specifications for
such portion of work in order to comply with such revisions.
A pre-construction meeting shall be scheduled between Developer, its general contractor,
and the Village prior to commencement of any construction on the Project. Developer shall, prior
Page 48 of 91

to such meeting, notify all utilities of the planned construction and the date and location of the
pre-construction meeting.
Section 2.02 Building and Occupancy Permits. No final occupancy permit shall be issued until
the water main, sanitary sewer and storm sewer improvements servicing the applicable building
are installed and approved by the Village Engineer, and all required record-drawings are filed with
the Village and approved by the Village Engineer in accordance with Section 2.05 below.
Temporary occupancy permits may be issued in advance of record-drawing filings at the time of
approval of the foregoing improvements subject to punch-list items.
Section 2.03 Required Plans. Developer shall submit to the Village Engineer for approval all of
the plans, profiles and specifications required by Section 18.09(3) of the Municipal Code.
Section 2.04 Existing Flora. Except as shown on the site plan approved by the Plan Commission
on June 8, 2026, Developer shall, in accordance with Sec. 18.09(5) of the Municipal Code, make
reasonable efforts to protect and retain all existing trees, shrubbery, vines and grasses not actually
lying within public roadways, drainageways, drainage ponds, building foundation sites, driveways
and parking areas, soil absorption waste and disposal areas, paths and trails, except as reasonably
necessary for development or construction of the Project. Such trees are to be protected and
preserved during construction in accordance with sound conservation practices.
Section 2.05 Record-Drawing Documents. Developer shall provide the Village with record-
drawing documents in AutoCAD format and on non-fading, double matte mylar (4 mil minimum
thickness) of the Water Improvements and the Sanitary Improvements. Reproducible copies of all
final plans supplied by Developer to the Village pursuant to Sec. 18.09(3) of the Municipal Code
shall include record-drawing information for all applicable Water Improvements and Sanitary
Improvements. All record-drawing measurements shall be prepared using the following approved
and accepted survey datum for horizontal and vertical control as referenced to the Village
coordinate system being the Wisconsin State Plane Coordinate System, South Zone, based on North
American Datum of 1983, 2011 Adjustment, and the North American Vertical Datum of 1988. If
Developer is unable to furnish the location and digital files as required, the Village Engineer shall
complete or cause to be completed the record-drawing plans with costs charged back to Developer.
Each original or copy shall be certified by Developer's engineer, in accordance with requirements
of the Village Engineering Department. Record drawings for the Water Improvements and Sanitary
Improvements shall be submitted by Developer and approved by the Village Engineer prior to
applying for a final occupancy permit. The Developer shall be responsible for the cost for
placement of sanitary sewer, water main, storm sewer (public/private), roads, street signs, street
trees and street lighting in the Villages GIS system. Developer is expected to provide record
drawings for each item listed to the Village for review and approval. Approved record drawings
will be submitted to the Village for inclusion into the Village GIS system.

7
Section 3.01 Generally. Developer agrees that the Public Improvements will not be accepted by
the Village until (i) all outstanding charges required to be paid by Developer pursuant to the
Municipal Code and/or this Agreement with respect to the Public Improvements have been paid in
full, (ii) affidavits and lien waivers are received by the Village indicating that all contractors
providing work, services or materials in connection with the Public Improvements have been paid
in full for all such work, services and materials, and (iii) the Village has received evidence
reasonably satisfactory to it that no liens or other encumbrances (except those approved in writing
by the Village) by or through Developer encumber the Public Improvements. Any water main
installation shall not be accepted until two consecutive bacteriologically safe samples and one
satisfactory pressure test results are obtained. Developer or his Contractor will flush the main and
obtain the samples required for this testing under the supervision of the Village Engineering
Department or Water Utility personnel. Upon completion of the water mains and service laterals
and acceptance of the system by the Village Public Works Committee, ownership and control shall
be turned over without reservation to the Village.
Section 3.02 Acceptance. Developer shall request in writing to the Village Engineer acceptance
of the Public Improvements. The Village Engineer will promptly (and in any event within thirty
(30) days) order an inspection of the Public Improvements by the Village Inspector and a punch-
list of corrections (if any) shall be forwarded in writing to Developer for completion prior to
acceptance. Upon completion of corrective action, Developer shall inform the Village Engineer in
writing and request acceptance by the Public Works Committee. Upon satisfaction of the conditions
set forth in this Agreement, of the punch-list corrections (if any), and upon written request by
Developer, the Village shall accept the Public Improvements (the “Final Acceptance”) via a vote
by the Public Works Committee.

Section 4.01 Generally. Developer shall pay all fees, expenses, costs and disbursements which
are ordinarily charged in development (e.g., building permit fees) and which Developer is required
to pay pursuant to Section 18.10 of the Municipal Code. Unless required to be pre-paid under the
terms of this Agreement, such amount shall be paid by Developer within thirty (30) days after being
billed by the Village. Nothing in this provision, or in the remaining provisions of this Article, shall
be construed as exempting Developer, its successors and assigns, from such future fees, expenses,
costs, or assessments which might be imposed by way of general operation of law or ordinance,
and as otherwise assessable against properties within the Village of Germantown.
Section 4.02 Impact Fees; Sewer Connection Fee. As a condition of the approval of this
Agreement by the Village, Developer shall pay to the Village Treasurer the following impact fees
that have been determined in accordance with Section 3.14 of the Municipal Code and the sanitary

connection charge. The REC Fees change annually with the current year REC Fee to be used at
time of Building Permit issuance. These fees are payable at the time of Building Permit issuance.
Section 4.03 Improvement Review Fee. Developer shall pay a fee based on the cost of the
Public Improvements for the Project for review of the plans and specifications, as provided by
Section 18.10 (3) of the Municipal Code. The fee shall be calculated as follows:
2.25% of the first $250,000 of Public Improvement construction costs
1.75% of the next $250,000 of Public Improvement construction costs, and
1.25% of Public Improvement construction costs which exceed $500,000
If a Developer's Agreement is required for this project, the Engineering Department shall charge a
minimum fee of $5,000 for a fee as per Section 18.10(3) of the Municipal Code.
Section 4.04 Professional Fees and Inspection Fees. In accordance with Sec. 18.10(4),
18.10(7), and 18.10(8) of the Municipal Code, Developer shall be responsible for all professional
(technical and legal) fees incurred by the Village in connection with the Development. Inspection
costs shall be reimbursed to Village by Developer, whether performed by the Village Engineering
Dept., Water Utility, Wastewater Utility, Highway Dept., or outsourced to a third-party consultant.
Developer will be billed for Village personnel at the standard rates presented in Exhibit B.

the Municipal Code, Developer has been authorized for all necessary sanitary sewer connections
for this Development, subject to the provisions of Section 5.02 of this Agreement.
Section 5.02 Sewer Capacity. It is understood by and between the parties that the Village, by
entering into this Agreement, makes no representations or guarantees with respect to sewer capacity
for the Development contemplated by this Agreement. It is understood by Developer that other
governmental authorities having jurisdiction may impose limitations or restrictions upon the
Village's decision to authorize the sewer connections referred to in Section 5.01 of this Agreement.
9
Section 5.03 Wetland and Floodplain Conditions. It shall be an explicit condition that
Developer shall comply with all required regulations and shall obtain all necessary approvals in
writing from the appropriate agencies relative to the wetlands and floodplain areas which may be
on the Property.
Section 5.04 Roadway Maintenance. The owner of the Property from time to time shall be
responsible to provide or contract for all maintenance and repair services, including snow and ice
removal, for all roadways within the Project.
Section 5.05 Garbage & Recycling Collection. In accordance with Section 11.08 of the
Municipal Code, the Developer or its designated agent is responsible for garbage, refuse and
recyclables collection for the Development
Section 5.06 Centralized Mailboxes. It is anticipated that the United States Postal Service
Postmaster will require a centralized mailbox cluster for the Development. Such mailbox cluster
shall not be located in public right-of-way. Maintenance of the central mailbox area shall be
perpetual and the responsibility of the Developer or its assigns.
Section 5.07 Development Sign. Developer may install one (1) permanent sign for development
identification purposes. The sign shall be installed near the southern driveway entrance at Division
Road, but not within Village right-of-way, and will include the name of the development
(“Carillon”) and logo. The sign shall not exceed 24 sq. ft. in area and shall be comprised of
limestone veneer with masonry foundation and powder coated aluminum sign face.
Article VI. FINANCIAL GUARANTY
Section 6.01 Public Improvement Guaranty. Developer shall deposit with the Village a
financial guarantee (certified check, provide an irrevocable letter of credit, or a Performance Bond
at the option of Developer) which shall assure the faithful performance of Developer's obligations
to install the Public Improvements under this Agreement as itemized in Exhibit A attached hereto
and incorporated herein by reference. The Village will, following Developer’s request and
acceptance by the Village Public Works & Highway Committee of some but not all of the
improvements constructed as part of this Agreement, reduce the deposit or letter of credit to the
amount estimated by the Village Engineer (in a manner consistent with the Ordinances) to be
necessary to secure performance by Developer hereunder. In no event shall the amount of the
guaranty be reduced below the aggregate total estimated cost of the improvements not yet installed
or accepted, plus fifteen percent (15%). The Village is hereby authorized to contact directly the
issuer(s) of the financial security from time to time regarding the sufficiency of the financial
guaranty. The termination date of the financial security shall be no earlier than one (1) year
following the date substantial completion of the Public Improvements. If the Public Improvements
are not complete within fifteen (15) months following issuance of permits for Construction of the
Public Improvements, for any reason including force majeure under Section 8.03 below and
without regard to the fault of Developer, then Developer's obligation to provide financial security
may be extended at the option of Developer to extend through the completion of the work and its
inspection and acceptance of dedication by the Village. Should Developer choose not to extend the
financial security, the Village may, in its sole discretion, draw upon the security and cause the work
to be completed. The Village shall return any remaining financial guaranty to the Developer within
Page 52 of 91
10
sixty (60) days of the Final Acceptance of the Public Improvements.
Section 6.02 Landscape Bond. Developer shall also deposit with the Village a check or provide
an irrevocable letter of credit or Performance Bond at the option of Developer, which shall assure
the faithful performance of Developer's obligations under this Agreement with respect to the
Landscape Improvements (the “Landscape Bond”) in the amount of 110% of the estimated cost
of the Landscape Improvements as itemized in Exhibit A attached hereto and incorporated herein
by reference. The termination of Landscape Bond shall be no earlier than two (2) years from
installation of the Landscape Improvements.
Section 6.03 Form. The form of the financial guaranty shall be approved by the Village Attorney
in his reasonable discretion prior to acceptance of the letter of credit or bond by the Village as
satisfying Developer's obligations as provided in Section 6.01 and Section 6.02 above.
Section 6.04 Liability not Released. All deposits or Letters of Credit given hereunder are
security devices only which in and of themselves do not limit the liability of Developer to the
Village, however arising and regardless of the amount.
Section 6.05 Reservation of Assessment Rights. In addition to the remedies for default provided
to the Village by this financial guaranty as identified in Section 6.01 above, the Village reserves
the right without hearing to impose special assessments or charges for any amounts to which the
Village is specifically entitled by virtue of this Agreement for the Public Improvements required
under this Agreement. Such special assessments or charges shall be collected on the next
succeeding tax roll as are other special assessments or charges. This provision constitutes
Developer's Waiver of Notice and Consent to all special assessment or special charges proceedings
which may be required by law.
Article VII. GUARANTEE AND INDEMNIFICATION
Section 7.01 Guarantee of Improvements. Developer shall guarantee all dedicated Public
Improvements against defects due to faulty materials or workmanship which appear within one
(l) year from the date of the Final Acceptance by the Village (the “Warranty Period”). In the
event that the Village delivers written notice to the Developer within the Warranty Period of a
defect in the Public Improvements due to faulty materials or workmanship, the Developer shall
repair or replace any such Public Improvements as required by the Village Engineer to eliminate
such defects and shall pay for all actual damages to Village property resulting from such defects.
Each repair or replacement performed pursuant to this paragraph shall be guaranteed for one (1)
year from the completion thereof.
Section 7.02 General Indemnification. Developer shall indemnify and hold the Village
harmless against and from any and all liability, judgments, costs and expenses incurred by the
Village as the result of any action by whomsoever or whenever brought or obtained against the
Village or Developer, or both, which may in any manner result from or arise in the course of, out
of, or as a result of the carelessness, negligence or neglect of Developer, its agents, contractors or
employees in connection with its obligations under this Agreement. In every case where judgment
is recovered against the Village and where written notice of the pendency of the suit and an
opportunity to defend the same has been given to Developer within ten (10) days after its
commencement, the judgment shall be conclusive upon Developer, not only as to the amount of
Page 53 of 91
11
damages, but also as to its liability to the Village.
Section 7.03 Contractor Insurance. Contractors engaged by Developer to perform the work
required by this Agreement within public rights-of-way shall, prior to commencing such work,
submit to the Village proof of the following:
(a) Unemployment and Workers' Compensation insurance which is in compliance with state
laws.
(b) Commercial General liability insurance having limits of not less than $1,000,000.
(c) Property damage insurance having limits of not less than $500,000.00.
(d) Fire and extended coverage which shall insure against losses and damage to completed
work, materials or equipment until the same has been accepted by the Village.
Section 7.04 Indemnification For Environmental Contamination. Developer shall
indemnify, and hold the Village and its officers, agents and employees harmless from and against
any and all losses, damages, costs, expenses, liabilities, obligations, claims or suits (including,
without limitation, reasonable attorneys’ fees, punitive damages, fines, penalties and consequential
damages) resulting from or relating in any way to the presence of toxic or hazardous material or
substances present or suspected to be present in or on the real property dedicated or conveyed to
the Village, pursuant to, or in connection with the platting/subdivision of Developer’s Property as
more specifically detailed in the terms of this Agreement except where such materials or
substances are present or suspect to be present as a result of the actions of the Village and its
officers, agents and employees. For purposes of this Agreement, “toxic or hazardous material or
substances” is defined as any pollutant, contaminant, waste or toxic or hazardous chemicals,
wastes or substances, including, without limitation, asbestos, urea formaldehyde insulation,
petroleum, PCBs, lead, air pollutants, water pollutants, soil pollutants and other substances defined
as hazardous or toxic or words of similar import under federal, state or local statute, rule,
regulation or order of any government entity having jurisdiction over the control of such wastes
or substances.
Upon the Village becoming aware of the occurrences of any event or the existence
of any state of facts in respect of which the Village has or will have a claim for indemnification
under this Section 7.04 (“Claim”), as soon as reasonably practicable thereafter:
(a) the Village shall provide Developer written notice of the losses, damages, costs, expenses,
liabilities, obligations, claims or suits (including, without limitation, reasonable attorney’s
fees, punitive damages, fines, penalties, and consequential damages) as and when
reasonably apprehended. Notwithstanding anything to the contrary contained herein, the
Village’s failure to timely notify Developer shall not prevent or in any way impair recovery
by the Village unless Developer is materially prejudiced as a result of such failure;
(a) subject to paragraphs (c) through (f) below, Developer diligently, at its own expense,
shall control and shall be responsible for the defense, negotiation and/or settlement of
Page 54 of 91
12
the Claim, including the diligent performance of any remediation associated
therewith;
(b) the Village may at its own expense hire counsel or consultants to monitor the Claim;
(c) Developer shall not, without the prior written consent of the Village, which consent
shall not be unreasonably delayed, withheld or conditioned, settle any Claim;
(d) Developer shall lose its right to defend, negotiate and settle any Claim if, in the
reasonable judgment of the Village, it fails to diligently defend, negotiate or settle
such Claim. In the event that Developer has lost its right to defend, negotiate or settle
any Claim: (i) the Village shall have the right, without prejudice to its right of
indemnification hereunder, at Developer’s cost and expense, to defend, negotiate and
settle any Claim, and (ii) Developer shall pay such reasonable costs and expenses
incurred by the Village within twenty (20) days of receipt of written notice from the
Village, together with reasonable evidence of the incurrence of such costs;
(e) If Developer does not timely assume responsibility for any Claim, the Village shall
have the right, without prejudice to its right of indemnification hereunder, at the sole
cost and expense of Developer, to assume control of the defense, negotiation and/or
settlement of the Claim, and may engage counsel or other agents, consultants, and
contractors to contest, defend, settle or otherwise dispose of such Claim, including,
without limitation, hiring any environmental consultant or contractor to perform any
remediation necessary to address the Property or the toxic or hazardous materials or
substances at the Property.
Article VIII. TIME OF COMPLETION
Section 8.01 Completion Deadline. The construction of the Public Improvements shall be
completed by Developer not later than fifteen (15) months after the later of full execution of this
Agreement and the acceptance of this Agreement by the Village Board (the “Completion
Deadline”).
Section 8.02 Default. In the event Developer does not complete installation of the Public
Improvements required by this Agreement within thirty (30) days after the Village has served
written notice of default upon Developer following the Completion Deadline, the Village may
complete the same and take title thereto. The actual costs of doing such work shall be collected as
provided in Article VI of this Agreement.
Section 8.03 Force Majeure. Notwithstanding anything herein to the contrary, in the event that
Developer is delayed or hindered in or prevented from the performance of any act required
hereunder by reason of strikes, lockouts, labor troubles, inability to procure materials, failure of
power, restrictive governmental regulations, orders or decrees, riots, insurrection, war, acts of God,
inclement weather, or other reasons beyond Developer's reasonable control, then performance of
such act shall be excused for the period of the delay and the period for the performance of any such
act shall be extended for the period of such delay.
Section 8.04 Sunset Clause. This Agreement shall terminate fifteen (15) months after Village
Page 55 of 91
13
Board approval unless such period is amended in writing by both parties.
Section 8.05 Remedies. In the event of a material breach of this Agreement by the Developer,
the Village shall give written notice of such breach to the Developer. If Developer fails to remedy
the breach within thirty (30) days of its receipt the written notice (or such other amount of time to
which the parties might agree) (the “Cure Period”), the Village shall have the option of ordering
the Developer to not proceed any further with the construction and installation of the Public
Improvements until such time as the breach is remedied. Notwithstanding the foregoing, so long
as the Developer commences a cure within the Cure Period and is diligently pursuing the same, the
Cure Period shall be extended for so long as is necessary to cure the breach. In addition, the Village
shall have the right to remedy such breach following the Cure Period at its expense and assess the
cost thereof against the subject property. All remedies as stated herein shall be deemed alternative
remedies, and cumulative as and to such other remedies in law or equity as the Village may assert
and herein reserves.

BUSINESS OF THE VILLAGE BOARD
MEETING DATE: September 21, 2026
PLACEMENT: Action Item
ITEM TITLE: Acquisition of N96 W18058 County Line Road (Tax Parcel No.
333-999) for the purpose of relocation of Wastewater Utility Lift
Station 6. The Village Board may convene into closed session
pursuant to Wis. Stat. § 19.85(1)(e) for the purpose of deliberating
or negotiating the purchasing of public properties, the investing of
public funds, or conducting other specified public business,
whenever competitive or bargaining reasons require a closed
session and then may reconvene into open session to take such
action as it deems appropriate. (ACTION)
SUBMITTED BY: Brian Sajdak, Attorney
SUMMARY EXPLANATION:
In February, the Board authorized a potential offer to purchase for the acquisition of
land to relocate Lift Station 6, which has been part of the wastewater utility budget for
several years. The purpose of this closed session is to update the Board on the status
of those efforts and to seek guidance on any negotiation strategy the Board desires to
implement.
The Wastewater Utility is interested in securing the parcel on the west bank of the
Menomonee River on County Line Road. Lift 6 currently resides on the east bank of
the Menomonee River, in the right-of-way adjacent to County Line Road and south of
the Buffalo Wild Wings Restaurant. The reason for interest in this land is 4-pronged:
1. The capacity of the lift station is confined in the current location. The need to grow
in the future, based on development, is not possible. Development in that sewershed is
likely in the coming years.
2. The lift station has not had a major rehab in 20+ years and, absent rebuilding it on
the other side of the river, that rehab project will need to become part of the 5-10 year
plan. In addition to anticipated mechanical and control upgrades, the well in Lift 6 is a
steel structure that has a defined period of life that will also need to be addressed. That
will make the rehab of Lift 6 essentially a replacement.
3. Development around Lift 6 has caused it to sit at a low point where it is at risk of
flooding. This was acutely witnessed in August 2025 when emergency measures
narrowly saved Lift 6 from being a total loss to flooding. The proposed location across
Page 80 of 91
the river sits higher and is not as prone to flooding.
4. The relocation of Lift 6 could allow for the elimination of Lift 3 which could allow for
operational savings, but more importantly, one less point of failure in the system.
Pursuant to Wis. Stat. § 19.85(1)(e), a closed session can be utilized for the purpose of
deliberating or negotiating the purchasing of public properties, the investing of public
funds, or conducting other specified public business, whenever competitive or
bargaining reasons require a closed session. This would include allowing the Village
Board to discuss possible terms related to any attempt to acquire property.

STAFF RECOMMENDATION:
A motion to go into closed session pursuant to Wis. Stat. § 19.85(1)(e) for the purpose
of deliberating or negotiating the purchasing of public properties, the investing of public
funds, or conducting other specified public business, whenever competitive or
bargaining reasons require a closed session to discuss negotiating strategy for the
acquisition of N96 W18058 County Line Road.
